What a Sales Terms Agreement Does

The Sales Terms Agreement is a contract that records the commercial terms governing the sale of goods or services between a seller and buyer. It typically sets price, payment schedule, delivery terms, acceptance criteria, warranties, returns and remedies, invoicing and tax allocation, confidentiality, limitation of liability, and governing law. Parties use it to reduce ambiguity, allocate risk, and establish performance expectations before shipment or service delivery. When executed electronically and meeting ESIGN/UETA criteria, it is enforceable in the United States; retain a copy according to applicable recordkeeping rules.

Why the Sales Terms Agreement Matters

A clear Sales Terms Agreement reduces disputes by defining payment, delivery, and remedies; protects both parties' expectations; and supports enforcement. It also documents consent for electronic execution under ESIGN/UETA and helps meet industry-specific compliance obligations.

Why the Sales Terms Agreement Matters

Who Typically Prepares or Signs This Agreement

Sellers, buyers, procurement, sales operations, and in-house counsel commonly prepare or request Sales Terms Agreements to document commercial obligations and reduce transaction risk.

  • Small businesses and startups needing clear invoice, payment, and delivery terms.
  • Enterprise procurement teams integrating contract terms with purchase orders and ERP.
  • Legal counsel and sales managers who negotiate liability, warranty, and termination clauses.

Use the agreement as a consistent template across deals, customising clauses for industry, jurisdiction, and transaction size.

Practical Tips to Improve Accuracy and Reduce Risk

Practical tips for accurate, enforceable Sales Terms Agreements that minimize negotiation friction and legal exposure.

Use clear, specific consideration language
Avoid vague terms; state amounts, currency, payment triggers, and invoicing references. Tie payments to deliverables or milestones and specify remedies for late payment to reduce ambiguity and collection disputes.
Define delivery, inspection, and acceptance criteria
Specify delivery method, transfer of title and risk, inspection windows, and acceptance tests. Establish who pays shipping, how shortages are reported, and remedies for nonconforming goods to limit post-delivery disputes and chargeback risks.
Limit liability and allocate risk clearly
Include liability caps, exclusions for consequential damages, indemnity scope, and insurance requirements. Ensure limitations reflect bargaining power and regulatory limits, and be explicit about survival of key clauses after termination.
Use proper signature authority and authentication
Confirm signer authority, require corporate titles for entities, document delegation of signing power, and record electronic consent and audit trails per ESIGN/UETA standards to support attribution and evidentiary admissibility.
