Cancellation, Rescheduling and Refunds

Cancellation and Rescheduling: Client may cancel or reschedule in accordance with the fees and notice periods below. Trainer will seek to rebook cancelled sessions within a commercially reasonable period. For cancellations received less than the required notice period, Client shall pay the applicable cancellation fee.

Intellectual Property; Confidentiality

Ownership of Materials: All training materials, curricula, slide decks, and assessments provided by Trainer remain the intellectual property of Trainer except as expressly agreed in writing. Client is granted a limited, non-transferable license to use materials solely for internal training of Client's employees for the period specified in this agreement.

Confidentiality: Each party shall keep confidential all non-public information disclosed by the other in connection with the provision of services. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

Acknowledgment: Both parties acknowledge and agree to the foregoing intellectual property and confidentiality terms.

Warranty; Limitation of Liability; Indemnity

Service Warranty: Trainer warrants that services will be performed with reasonable skill and care consistent with industry standards. Except as expressly set forth herein, Trainer disclaims all other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose.

Limitation of Liability: Except for liability arising from wilful misconduct or gross negligence, each party's aggregate liability to the other for any claim arising under or related to this agreement shall not exceed the total fees paid by Client to Trainer under this Packet for the specific training program giving rise to the claim.

Indemnity: Client shall defend, indemnify and hold Trainer harmless from and against any third-party claims arising from Client's use of the training materials or the actions of Client's attendees, except to the extent caused by Trainer's gross negligence or willful misconduct.

Compliance; Governing Law

Compliance with Laws: Each party will comply with all applicable laws and regulations in performing its obligations under this Packet.
