RECITALS

DATA SHARING, CONFIDENTIALITY, AND RELEASES

The parties will limit the collection and sharing of student information to what is necessary for Program administration. Confidential Information must be protected and may be used only for Program purposes. The parties shall secure any required parental or guardian consent prior to the release of individually identifiable education records.

INTELLECTUAL PROPERTY; USE OF LOGOS AND PUBLICITY

Unless otherwise agreed in writing, each party retains ownership of materials it creates independently. Jointly created materials will be owned as agreed in writing. Public announcements or use of the School's or Partner's name or logo require prior written approval from the other party.

INSURANCE AND INDEMNIFICATION

Each party shall maintain insurance appropriate to its obligations under this Agreement and shall indemnify, defend, and hold harmless the other party from claims arising from its negligence or willful misconduct in connection with the Program, subject to applicable law.

COMPLIANCE

Each party shall comply with all applicable federal, state, and local laws, regulations, and school district policies applicable to the Program and to its performance under this Agreement.

MONITORING, EVALUATION, AND REPORTING

TERMINATION

This Agreement may be terminated by either party for material breach that is not cured within the notice period or immediately for cause where required to protect students. Routine termination requires prior written notice as set forth below.

AMENDMENTS; NOTICES

This Agreement may be amended only by a written instrument signed by authorized representatives of both parties. Notices required under this Agreement shall be delivered to the contacts listed below.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force. This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations.
