SCHOOL RENOVATION AGREEMENT

Parties

This School Renovation Agreement ("Agreement") is entered into between Owner: located at , and Contractor: , located at .

Recitals

WHEREAS, Owner operates the educational facility known as (the "Facility"); and WHEREAS, Owner desires renovation, repair, and related work as described in this Agreement at the Facility located at .

Scope of Work

Contractor shall furnish all labor, materials, equipment, supervision, and services necessary to perform the renovation work described in Exhibit A: Plans and Specifications and as further described below. Contractor's obligations include compliance with all applicable codes and safe work practices to protect students, staff, and property.

Contract Sum and Payment

Owner agrees to pay Contractor the Contract Sum in accordance with the payment schedule below. All sums are payable in United States dollars and subject to offsets only as expressly provided in this Agreement.

The Work shall commence and be substantially completed according to the following dates. Time is of the essence with respect to the schedule.

Change Orders

Changes in the Work shall be made only by written Change Order signed by both parties. Change Orders will set forth the change in scope, the adjustment to the Contract Sum, and any adjustment to the schedule. Oral modifications are not binding.

Site Access, Phasing, and Safety

Contractor shall coordinate work to minimize disruption to school operations. Contractor shall restrict work areas, provide signage, and comply with Owner's site access rules. Contractor shall ensure that all personnel performing on-site work have undergone background checks and any required clearances.

Hazardous Materials and Environmental Compliance

Contractor shall promptly notify Owner if it encounters suspected asbestos, lead-based paint, mold, or other hazardous materials. Contractor shall not disturb regulated materials except by licensed personnel and in strict compliance with law and Owner protocols.

Insurance and Indemnity

Contractor shall maintain and provide certificates evidencing insurance with minimum coverages: general liability not less than the amount set forth below, automobile liability, workers' compensation as required by law, and professional liability where applicable. Owner shall be named as an additional insured on the general liability policy for claims arising from the Work.

Contractor shall indemnify, defend, and hold harmless Owner, its officers, employees, and agents from and against all claims, liabilities, losses, damages, and expenses arising out of Contractor's performance of the Work except to the extent caused by Owner's negligence or willful misconduct.

Warranties

Contractor warrants that all materials and workmanship furnished under this Agreement shall be free from defects for a period of one year from the date of Substantial Completion, unless a longer period is required by law or the Specifications. Remedies for breach of warranty include repair, replacement, and reimbursement for reasonable consequential damages arising from defective work.

Termination and Suspension

Owner may suspend or terminate the Work for cause upon written notice to Contractor for material breach, failure to prosecute the Work, or failure to comply with safety or clearance requirements. Contractor may be entitled to payment for Work performed prior to termination as provided in this Agreement.

Dispute Resolution

The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the arbitration rules selected by the parties, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.

Compliance with Laws and Policies

Contractor shall comply with all applicable federal, state, and local laws, ordinances, codes, and regulations including those governing school facilities, non-discrimination, prevailing wage (if applicable), and procurement. Contractor shall comply with Owner policies relating to background checks, site security, and student safety.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and agreements. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain enforceable.
