Recitals and Purpose

Scope of Partnership

The Partnership shall include: joint program development, supervised field education placements, shared faculty appointments where agreed, reciprocal use of facilities as available, and collaborative continuing education offerings. Specific activities, schedules, and resource commitments will be set forth in appendices when attached and incorporated into this Agreement.

The Seminary retains academic authority for admissions, course credit, grading, and awarding of degrees. Partner Organization agrees to provide qualified on-site supervision for students during field education placements. Partner Organization will ensure supervisors meet Seminary-defined qualifications and will provide written evaluations using forms provided by Seminary.

Financial Arrangements

Tuition, fees for courses, and any placement-related costs will be governed by Seminary policies unless otherwise agreed in writing. The parties agree the following financial terms for services under this Agreement:

Insurance and Liability

Each party shall maintain insurance covering its operations in amounts customary for similarly situated institutions. Partner Organization shall maintain general liability insurance covering student activities and shall name Seminary as an additional insured when requested in writing.

Records, Confidentiality and Student Privacy

The parties shall comply with applicable privacy and student-records laws. Partner Organization shall protect the confidentiality of student records provided by Seminary and shall not disclose academic records except as required by law or with prior written consent of the Seminary and the student.

Representations, Warranties and Compliance

Each party represents and warrants that it is duly organized, has authority to enter into this Agreement, and will comply with all applicable laws, accreditation requirements, and Seminary policies applicable to the activities contemplated hereunder.

Indemnification

Each party shall indemnify, defend, and hold harmless the other party from and against claims, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of the indemnifying party’s negligence or willful misconduct in connection with this Agreement.

Term, Renewal and Termination

This Agreement shall commence on the Effective Date and continue until: Start Date: End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date, subject to obligations accrued prior to termination.
