What a Severance Payment Agreement Is and When It Applies

A Severance Payment Agreement is a written contract between an employer and an employee that documents the terms under which the employer will provide separation pay or other post-employment benefits in exchange for the employee’s release of claims or other obligations. Typical elements include the severance amount, payment schedule, continuation of benefits, confidentiality, noncompete or nondisparagement clauses, and a mutual release. Employers use these agreements to manage legal exposure, memorialize negotiated exit terms, and provide clarity on taxation and benefit treatment at termination.

Why a Clear Severance Payment Agreement Matters

A written severance agreement reduces litigation risk, clarifies obligations, and protects confidential information while giving separated employees predictable compensation and transition support. It establishes enforceable expectations for both parties and documents consideration for any contractual waivers.

Why a Clear Severance Payment Agreement Matters

Who Handles and Signs Severance Payment Agreements

Employers, HR professionals, in-house counsel, departing employees, and external employment counsel commonly prepare, review, and sign severance agreements.

  • Employers and HR teams use these agreements to standardize exit payments and reduce liability exposure while ensuring internal approval workflows are followed.
  • Employees review terms to understand compensation, benefit continuation, and release language; many obtain independent legal advice before signing.
  • Outside counsel or employment attorneys draft or review complex provisions, advise on enforceability, and negotiate terms on behalf of employers or employees.

Use role-based review and approval steps to ensure the agreement is consistent with company policy and any applicable collective bargaining or statutory requirements.

Primary Signatories and Typical Authorized Signers

Employer Representative, HR or Authorized Officer

A human resources director or officer with signing authority typically executes the employer’s side of the agreement. They confirm that the severance payment is approved by the appropriate internal authority and that payroll and benefits teams will process the payment and any tax withholdings.

Employee or Former Employee

The departing employee signs to accept the severance terms and any release of claims. Employees are advised to confirm the spelled-out consideration, effective date, and any post-termination restrictions before signing; many seek independent legal advice.

Core Clauses to Include in a Professional Severance Payment Agreement

A complete severance agreement balances clarity for payment mechanics with legally enforceable release language and post-employment obligations tailored to the parties' needs.

Severance Payment

Specify the gross dollar amount, any installments, the schedule, and whether payments are subject to standard tax withholdings and deductions.

Consideration

Describe the consideration provided in exchange for the release, e.g., a lump sum, salary continuance, or continued benefits for a defined period.

Release of Claims

Include a clear, state-law-compliant release clause that identifies covered claims and any exceptions such as vested benefits, unemployment, or vested stock rights.

Confidentiality and Non-Disparagement

Define obligations regarding confidential information and any non-disparagement commitments with temporal and scope limits.

Return of Company Property

Detail the employee’s obligations to return devices, documents, and access credentials before payment is issued.

Governing Law and Dispute Resolution

State the chosen governing state law and describe dispute resolution mechanisms such as arbitration or venue for litigation.

Step-by-Step: Completing and Executing a Severance Payment Agreement

Follow a consistent sequence: prepare draft, confirm approvals, present to employee with required disclosures, allow review period, finalize signatures, and process payment.

  • 01
Draft Preparation: Assemble factual details, severance calculation, and any release language for legal review.
  • 02
Internal Approval: Obtain sign-off from HR, finance, and legal to confirm budget and compliance.
  • 03
Present to Employee: Provide the agreement and any ESIGN consumer disclosure if required, and note the decision deadline.
  • 04
Execute and Process: Collect signatures, confirm effective date, and schedule payments through payroll or accounts payable.

Typical Digital Workflow Settings for Online Completion

Configure a secure digital workflow that captures signer identity, records the audit trail, and schedules payments upon execution.

Field Configuration
Signature Field Required; date-stamped; signer name auto-populated
Authentication Email link with optional SMS code or KBA for higher assurance
Conditional Fields Show payment schedule only if installments selected
Audit Trail Preserve IP, timestamp, and action log for enforceability

How Electronic Execution and Delivery Typically Work

An electronic execution workflow reduces turnaround time and documents the signing process with machine-readable audit data.

  • Upload Document: Upload the final agreement PDF or DOCX to the eSignature platform.
  • Place Fields: Add signature, date, and initial fields for each required signer.
  • Send to Signer: Deliver by email link or secure portal with authentication as configured.
  • Capture Evidence: Platform records IP, timestamp, and completion certificate for retention.

Digital Signing Considerations and Platform Requirements

Choose a platform that supports secure authentication, audit trails, and compliant record retention when executing severance agreements electronically.

  • Authentication Options: Email link, SMS code, knowledge-based verification for higher assurance
  • File Formats: Support for PDF and Word DOCX for editable and final copies
  • Integrations: Ability to connect with HRIS, payroll, and document storage systems

Validate that the chosen platform supports ESIGN/UETA legal requirements, maintains a tamper-evident audit trail, and can export signed records for payroll and legal retention.

Key Timing and Deadlines to Track

Track dates for the employee review period, revocation window where applicable, payment dates, and tax reporting deadlines to ensure compliance.

Review and Negotiation:

Allow sufficient time; employees often request a review period and may seek counsel.

Revocation Period:

If statute requires a revocation window for certain releases, state the number of days clearly in the agreement.

Payment Dates:

Specify exact payroll dates and any condition precedent to payment.

Tax Reporting:

Report payments per payroll and 1099/W-2 rules; withholding affects timing.

Record Retention:

Retain executed agreement per applicable retention rules described below.

Common Mistakes to Avoid When Preparing the Agreement

  • Vague payment terms that fail to specify gross versus net amounts, causing payroll disputes.
  • Using imprecise release language that omits state-specific claim categories or exceptions.
  • Failing to provide required consumer-facing electronic disclosures under the ESIGN Act for certain transactions.
  • Not securing proper internal approvals or documenting authority to execute on the employer’s behalf.

Risks and Consequences of an Incorrectly Drafted Agreement

Invalid Release: Mistakes can render a release unenforceable against future claims.
Tax Exposure: Incorrect classification of severance may trigger tax withholding errors or reporting penalties.
Payroll Delay: Ambiguous payment triggers can delay distribution and breach the agreement.
Breach Liability: Poorly defined confidentiality or IP clauses can lead to litigation risk.
State Law Noncompliance: Failure to meet state-specific revocation or witness requirements can invalidate provisions.
Recordkeeping Failures: Insufficient retention may impede defense in audits or disputes.
