SOFTWARE TRAINING AGREEMENT

6. Cancellation, Rescheduling, and Refunds

Cancellation by Participant: Participant must provide written notice to Provider. If notice is received at least days prior to start, Provider will refund all fees less administrative processing fee of . If notice is provided within seven (7) days of scheduled start or after commencement, tuition is non-refundable except at Provider's sole discretion.

Rescheduling: Provider will use reasonable efforts to accommodate rescheduling requests. Additional fees may apply for rescheduling within one (1) week of a scheduled session.

7. Intellectual Property, Materials, and Recording

Provider retains all right, title, and interest in training materials, curriculum, courseware, and methodologies provided in connection with this Agreement. Participant is granted a limited, non-exclusive, non-transferable license to use training materials solely for personal or internal business use in connection with the training. Participant shall not reproduce, distribute, modify, or create derivative works from Provider materials except as expressly authorized in writing by Provider.

8. Confidentiality and Data Protection

Confidential Information means non-public information disclosed by either party in connection with the training. Each party shall protect Confidential Information of the other party with at least the same degree of care it uses to protect its own Confidential Information, but in no event less than reasonable care. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, was lawfully known to the receiving party prior to disclosure, or is independently developed without use of the disclosing party's Confidential Information.

9. Warranties; Limitation of Liability

Provider warrants that it will perform training services in a professional manner consistent with industry standards. EXCEPT FOR THE EXPRESS WARRANTY SET FORTH IN THE PRECEDING SENTENCE, PROVIDER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT WILL PROVIDER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR FOR LOSS OF PROFITS, DATA, OR BUSINESS, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PROVIDER'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY PARTICIPANT TO PROVIDER FOR THE TRAINING GIVING RISE TO THE CLAIM.

10. Attendance, Performance, and Certification

Attendance: Participant agrees to attend scheduled sessions and complete all required exercises and assessments. Provider's policy requires minimum attendance of to be eligible for any certificate of completion.

Certification: Any certificate issued is evidence only of participation or completion of training and does not guarantee employment, certification by third-party vendors, or mastery of all course content.

Term: This Agreement commences on the Agreement Date and continues until completion of the training unless earlier terminated. Either party may terminate for material breach if the breach remains uncured for fifteen (15) days after written notice. Provider may suspend training if Participant fails to pay amounts due.

Governing Law: This Agreement will be governed by the laws of the state agreed by the parties at the time of signature. Entire Agreement: This Agreement, together with any attachments or schedules, constitutes the entire agreement between the parties relating to the subject matter and supersedes prior negotiations and understandings. Amendments must be in writing signed by both parties.
