SPEAKER ENGAGEMENT AGREEMENT

This Speaker Engagement Agreement (the Agreement) is entered into by and between the educational institution and the individual or entity engaged to provide speaking services as set forth below.

Services and Speaker Obligations

Speaker agrees to prepare and deliver the presentation and related materials described below, at the date, time and location specified. Speaker shall provide content that is original, accurate, and appropriate for the audience and shall comply with all Institution policies regarding conduct and child safety where applicable.

Compensation & Expenses

Institution will pay Speaker an honorarium and reimburse expenses as described below. Payment is conditioned upon receipt of an invoice and completion of the engagement unless otherwise agreed in writing.

Travel and lodging expenses: Institution will reimburse reasonable pre-approved travel and lodging expenses in accordance with Institution policy. If reimbursed, Speaker must submit original receipts.

Recording, Publicity, and Intellectual Property

Recording Permission: Institution may record the presentation. If checked, Institution is granted a non-exclusive, royalty-free license to reproduce and distribute the recording for educational, archival, and promotional purposes, subject to the restrictions below.

Intellectual Property: Speaker retains copyright in original materials provided to Institution, except that Speaker grants Institution a non-exclusive license to use, reproduce, and display materials for educational purposes. Any third-party materials incorporated into the presentation must be properly licensed or credited by Speaker.

Cancellation; Force Majeure

Cancellation by either party requires written notice. If Institution cancels without cause within days of the event, Institution will pay a cancellation fee equal to of the agreed honorarium. Neither party is liable for failure to perform due to events beyond its reasonable control.

Insurance, Indemnity and Compliance

Independent Contractor; Insurance: Speaker is an independent contractor and is responsible for applicable taxes and insurance. Where required by Institution policy, Speaker shall provide proof of liability insurance prior to the engagement.

Indemnification: Each party shall indemnify, defend and hold harmless the other party and its officers, employees and agents from claims, liabilities and expenses arising from the indemnifying party’s breach of this Agreement, negligence, or willful misconduct.

Confidentiality and Background Checks

Confidential Information: The parties agree not to disclose confidential information obtained in connection with this engagement. Institution may require the Speaker to undergo background screening where the audience includes minors; Speaker agrees to comply if so requested.

Speaker represents and warrants that the presentation and materials do not infringe any third-party rights and do not contain defamatory or unlawful content. Speaker will comply with Institution policies regarding nondiscrimination, harassment, and applicable laws.

Governing Law and Dispute Resolution: This Agreement will be governed by the laws of the state or jurisdiction of the Institution. Disputes shall be resolved by arbitration or litigation as chosen by Institution; venue and procedures shall be reasonable and consistent with institutional policy.

Entire Agreement; Amendment: This Agreement constitutes the entire agreement between the parties and may be amended only by a written instrument signed by both parties.
