This Student Editing Agreement (the "Agreement") sets forth the terms under which the Editor will provide editing services to the Student for the materials described below. Both parties agree that the services are limited to the scope set forth in Section 1 and are governed by the warranties, ownership provisions, confidentiality obligations, and limitations contained herein.

1. Scope of Services

The Editor will perform the editing services selected below for the Student's submitted materials. Check all services to be provided:

2. Deliverables and Turnaround

3. Fees and Payment Terms

The Student agrees to pay the Editor as follows:

Cancellation and refund: Payments for completed work are non-refundable. If the Student cancels prior to commencement of work, refunds will be issued less any expenses reasonably incurred by the Editor.

4. Confidentiality

The Editor shall treat all submitted materials as confidential and shall not disclose the content to third parties except as required to perform the services or as required by law. The Editor may retain anonymized examples of edits solely for quality control and training only if the Student provides explicit consent below.

Student consents to anonymized use of excerpts for Editor quality control and training (no identifying information).

5. Ownership, License and Use

The Student represents and warrants that they are the author or lawful owner of the submitted materials and retain all copyright. The Student grants the Editor a non-exclusive, royalty-free, limited license to reproduce, create derivative works, and otherwise use the materials solely to provide the services under this Agreement. The Editor does not claim ownership of the original work or the final edited version.

6. Representations, Academic Integrity, and Use of Edited Work

The Student acknowledges that the Editor's role is to improve clarity, grammar, and structure and that the Student is responsible for ensuring the edited work complies with all applicable academic integrity rules and assignment requirements. The Student represents that the submitted work is original or properly cited and that use of the Editor's services does not violate any third-party rights.

7. Limitation of Liability and Indemnity

Except for willful misconduct or gross negligence, the Editor's liability for any claim arising out of this Agreement shall be limited to the fees paid by the Student for the specific services giving rise to the claim. The Student agrees to indemnify and hold harmless the Editor from claims arising from the Student's breach of representations in this Agreement or from misuse of the edited materials.

8. Term, Termination and Remedies

This Agreement remains in effect until completion of services or earlier termination by either party upon written notice. Termination will not relieve the Student of the obligation to pay for services rendered prior to termination. Upon payment in full, the Editor will deliver final editable files to the Student.

9. Miscellaneous

Governing law: The laws of the state or jurisdiction of the Editor shall govern this Agreement unless the parties specify otherwise:

Entire agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior communications and proposals, whether oral or written.
