Confidentiality and Intellectual Property

The Student will maintain in confidence all proprietary, confidential, or trade secret information of the Host Organization learned during the internship. The Student assigns to the Host Organization all rights, title, and interest in any work product, inventions, or materials created in connection with duties under this Agreement, except to the extent otherwise mutually agreed in writing.

Compliance, Conduct, and Discipline

Student agrees to comply with Host Organization policies, workplace safety rules, and applicable laws. Host Organization may terminate the placement for cause, including misconduct, breach of policy, or unsatisfactory performance.

Termination and Modification

Either party may terminate this Agreement upon written notice to the other party. Host Organization may remove the Student for cause immediately. Modifications to this Agreement must be in writing signed by both parties.

Records, Evaluation, and Credit

The Host Organization will provide periodic evaluation of performance to the Student and, where applicable, to the Student's educational institution. Documentation of hours and performance shall be maintained and furnished upon request for academic credit verification.

Each party represents that it has the authority to enter this Agreement. The Student agrees to indemnify and hold harmless the Host Organization from claims arising from the Student's negligent or willful acts. The Host Organization agrees to indemnify the Student only for liabilities arising from the Host Organization's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Host Organization's primary place of business is located, without regard to conflict of law principles.
