Confidentiality, Intellectual Property and Records

Confidential Information: Student shall keep confidential all nonpublic business, technical and other proprietary information disclosed or learned during the internship. Student will not use or disclose Confidential Information except as required to perform assigned duties and will return all materials upon request.

Intellectual Property: Student agrees that inventions, designs, works of authorship, and other intellectual property conceived or reduced to practice in whole or in part during the internship relating to the Host Organization's business shall be the exclusive property of the Host Organization, subject to any separate written agreement. Student shall promptly disclose such work and execute documents reasonably necessary to vest ownership in the Host Organization.

Background Checks, Health and Safety

Background Checks and Screening: Placement is conditioned on satisfactory completion of required background checks, drug screening, and any other screening required by the Host Organization or applicable law. Student consents to such screenings as a condition of placement.

Insurance and Liability

Workers' Compensation and Insurance: Host Organization will maintain insurance and workers' compensation coverage as required by law for interns performing compensable work. Student is encouraged to maintain personal health insurance. Host Organization is not liable for ordinary acts of negligence by the Student; Student remains responsible for personal conduct and compliance with safety policies.

Release: To the extent permitted by law, Student releases the Host Organization and its officers, agents and employees from claims arising from Student's participation in the internship except for willful misconduct or gross negligence on the part of the Host Organization.

Termination and Withdrawal

Either party may terminate this Agreement for any reason with seven (7) days' written notice. Host Organization may immediately terminate the internship for cause, including but not limited to breach of policies, unsatisfactory performance, or violation of law. Withdrawal by Student must be communicated in writing to the Supervisor and School Liaison.

Representations, Acknowledgments and Compliance

Student represents that the information provided is accurate and complete. Student agrees to comply with Host Organization policies while performing duties, to follow safety instructions, and to contact the Supervisor promptly regarding issues affecting performance or safety. Student acknowledges that participation does not guarantee employment.

Governing Law and Miscellaneous: This Agreement will be governed by the laws of the state where the Host Organization's principal place of business is located. This Agreement constitutes the entire understanding between the parties with respect to the internship and may be amended only by a written instrument signed by both parties. If any provision is held unenforceable, the remainder shall remain in effect.
