Grant of License and Permitted Use

School hereby grants Student a non-exclusive, non-transferable license to install and use the Licensed Software solely for instructional and assistive print-reading purposes in connection with Student's educational program during the Term defined below. Authorized use is limited to the Student named in this Agreement and as reasonably necessary for school-related activities.

Restrictions and Acceptable Use

Student and Parent/Guardian shall not: (a) copy, distribute, publish, or sublicense the Licensed Software except as expressly permitted herein; (b) reverse engineer, decompile, or attempt to derive the source code; (c) use the Licensed Software for commercial purposes; (d) remove or alter proprietary notices. The Licensed Software may collect or store usage metadata as described in the Data Privacy section; Student shall not attempt to disable required accessibility features or modify software security controls.

Data Privacy, Access, and Records

To provide functionality and support, the Licensed Software may collect limited educational and technical information, including usage logs, reading progress, accessibility preferences, and anonymized performance metrics. School will maintain control of Student educational records generated by the Software and will only disclose such records consistent with applicable education records policies and legal obligations. Student and Parent/Guardian consent to collection and School access to the data necessary to support the Student's educational services.

Support, Maintenance, and Updates

School will coordinate installation and basic configuration. Ongoing technical support and major updates may be provided by the software vendor; however, the School's responsibility is limited to facilitation of support and installation on School-owned devices. Student/Parent/Guardian is responsible for maintaining licenses and performing requested updates on family-owned devices when applicable.

Fees and Payment

If a fee applies for licensing, training, or device installation, such amounts shall be set forth below. Absent an express line item here, the license provided under this Agreement is at no direct cost to Student.

Term, Suspension, and Termination

Term: This Agreement commences on the Effective Date and continues for the duration of the Student's enrollment in the current academic year unless earlier terminated in accordance with this Agreement. School may suspend or terminate the license for material breach, misuse of the Licensed Software, nonpayment of fees, or hazards to system security. Upon termination, Student shall discontinue all use and, to the extent practicable, remove software from non-School devices.

Warranties, Disclaimers, and Limitation of Liability

The Licensed Software is provided "as is" to the extent permitted by law. School and its affiliates disclaim all express and implied warranties, including fitness for a particular purpose and non-infringement. School's liability for claims arising from this Agreement shall be limited to direct damages and shall not exceed the total fees paid for the license in the twelve months preceding the claim. Neither party shall be liable for indirect, incidental, special, or consequential damages.

Indemnification

Student and Parent/Guardian agree to indemnify and hold harmless the School from third-party claims arising from misuse of the Licensed Software by Student or from unauthorized modifications to School-owned devices, except to the extent caused by School's gross negligence or willful misconduct.
