Liability, Insurance & Indemnity

Participant understands that shadowing is observational only and does not create an employment relationship. Participant will not perform clinical or hands-on procedures except as expressly authorized and supervised. Participant affirms that he/she has sufficient health insurance coverage and will bear responsibility for any personal medical expenses.

To the fullest extent permitted by law, Participant agrees to indemnify, defend and hold harmless Host Organization, its affiliates, employees and agents from claims, liabilities, losses or damages arising out of Participant's willful misconduct or negligent acts during the shadowing period. This indemnity does not apply to Host's sole negligence or willful misconduct.

Participant acknowledges and accepts the inherent risks associated with observation in the Host environment and agrees to follow all supervision, safety and confidentiality requirements communicated by Host.

Confidentiality

Participant will maintain confidentiality of all protected and proprietary information observed during shadowing, including personal, medical and business information, and will not remove, reproduce or disclose such information. Participant understands that unauthorized disclosure may result in immediate termination of the shadowing opportunity and potential legal liability.
