Student Responsibilities: Student will arrive prepared, complete assigned work between sessions, and adhere to academic integrity. Repeated failure to comply may result in termination under the Termination clause below.

Confidentiality and Records

Tutor agrees to maintain confidentiality of Student educational records and progress reports, except as required by law or as authorized in writing by Parent/Guardian. Tutor may maintain private notes for instructional purposes.

Consent to Communications: Parent/Guardian consents to progress communications by phone, email, or other methods provided above.

Liability, Indemnification, and Insurance

Limitation of Liability: Except for willful misconduct or gross negligence, Tutor's liability for any claim related to services provided under this contract is limited to the total fees paid by Parent/Guardian for the services in question. In no event will Tutor be liable for consequential or incidental damages.

Indemnification: Parent/Guardian agrees to indemnify and hold Tutor harmless from third-party claims arising from Student conduct during sessions, except to the extent caused by Tutor's gross negligence or willful misconduct.

Termination

Either party may terminate this Contract upon days’ written notice. Refunds for prepaid sessions will be made on a pro-rata basis less any non-refundable deposit and applicable cancellation fees.

Dispute Resolution and Governing Law

The parties agree to good-faith negotiation and mediation of disputes prior to pursuing litigation. This Contract will be governed by the laws of the state in which the Tutor principally operates.
