29A.07 Lease Provisions Relating to BrokersLandlord and Tenant each hereby covenant, warrant and represent to the other party that there was no broker, finder or similar person other than _______ and ________ (collectively hereinafter the "Brokers") entitled to a commission, fee or other compensation, instrumental in consummating this Lease, that no conversations or prior negotiations were had by Landlord or Tenant, respectively, or anyone acting on behalf of Landlord or Tenant, respectively, with any broker, finder or similar person other than Brokers concerning the renting of the Demised Premises. Landlord and Tenant, respectively, shall indemnify and hold harmless the other party against and from all costs, expenses, damages and liabilities, including, without limitation, court costs and reasonable attorneys' fees and disbursements, arising from any claims for brokerage commissions, finder's fees or other compensation resulting from or arising out of any conversations, negotiations or actions had by the indemnifying party or anyone acting on behalf of the indemnifying party with any broker, finder or similar person other than Brokers. The indemnifying party shall hire and pay attorneys reasonably satisfactory to the indemnified party to defend against any such claim and shall not enter into any settlement agreement with respect thereto without either (i) depositing the amount of such claim together with all costs of the indemnified party associated with defense of such claim, in trust, with the indemnified party for payment of such settlement or (ii) first receiving written authorization therefor, specific in scope and authority, from the indemnified party. Landlord agrees to pay Brokers' commission(s) pursuant to separate agreements.
