What a Summer Internship Agreement Is and What It Covers

A Summer Internship Agreement is a written contract between an employer and an intern that documents role, term, duties, compensation or stipend, work schedule, supervision, confidentiality, intellectual property assignment, and termination terms. It clarifies whether the internship is paid or unpaid, whether academic credit is involved, and which policies (safety, data privacy) apply. The agreement sets expectations for deliverables and conduct, permits lawful collection of onboarding information, and can be executed electronically consistent with ESIGN and applicable state law to create an enforceable record.

Why a Clear Summer Internship Agreement Matters

A concise agreement reduces legal risk, documents compensation and classification, protects confidential information and IP, and provides a clear onboarding checklist. Clear written terms help avoid wage, tax, and academic disputes and support compliance with ESIGN and employment law.

Why a Clear Summer Internship Agreement Matters

Who Commonly Uses a Summer Internship Agreement

Use the agreement whenever a placement involves substantive duties, compensation, or where IP, confidentiality, or background screening are relevant.

  • Employers and HR teams use the agreement to define duties, payment, supervision, and compliance obligations for seasonal or project-based internships.
  • Universities and career centers rely on agreements when internships provide academic credit or require specific learning objectives and liability protections.
  • Students or prospective interns review and sign agreements to accept terms, confirm availability, and understand compensation and ownership of work.

Core Elements to Include in a Professional Agreement

A robust Summer Internship Agreement balances operational detail with legal clarity to protect both parties and support enforceability.

Term

Specify the internship start and end dates, any probationary period, and whether hours are full-time or part-time; tie obligations and benefits to those dates.

Duties

Describe position title, primary responsibilities, reporting relationships, location (remote or on-site), expected deliverables, and performance review criteria to avoid ambiguity.

Compensation

State stipend or wage rate, payment schedule, expense reimbursement policy, and classification for tax purposes; note any academic credit and nonmonetary benefits.

Confidentiality

Include nondisclosure terms covering proprietary information, customer data, and trade secrets, with clear duration and permitted disclosures.

Intellectual Property

Specify assignment or license of inventions and deliverables created during the internship, including whether rights revert to the intern after termination.

Termination

Describe termination for convenience, cause, notice periods, and post-termination obligations such as return of property and confidentiality survival.

Background Check Completion:

Common Preparation Mistakes to Avoid

  • Using vague role descriptions that leave duties and supervision undefined, which can lead to performance disputes and unclear expectations.
  • Failing to specify compensation terms or pay schedule clearly, resulting in wage claims or classification disputes with tax authorities.
  • Omitting clauses for intellectual property and deliverable ownership, which can create later ownership conflicts over creative work.
  • Not validating signer identity or allowing unsigned onboarding items to delay payroll, background checks, and compliance obligations.

Risks and Potential Consequences of Errors

Contract Ambiguity: Enforceability risk
Tax Withholding Risk: Backup withholding
HIPAA Exposure: Civil penalties
IP Disputes: Loss of rights
Wage Claims: FLSA liability
Invalid Signature: Document may be void
