SUPPLEMENTAL EDUCATION AGREEMENT

Scope of Supplemental Services

Fees, Payment and Refunds

Cancellation and refund requests must be submitted in writing. Refunds, if any, will be processed in accordance with Provider's published refund policy as expressly set forth in this Agreement. Deposit is non-refundable except where Provider cancels services without rescheduling.

Guardian/Student authorizes Provider to share progress reports with school officials and other professionals as necessary for the provision of services.

Termination, Modification and Liability

Either party may terminate this Agreement for convenience with seven (7) calendar days' written notice. Provider may immediately terminate for nonpayment or material breach. Modifications to services or schedule must be agreed in writing. Provider shall exercise reasonable care in performance of services but shall not be liable for incidental or consequential damages beyond fees paid for the affected services. Guardian/Student agrees to indemnify and hold harmless Provider from claims arising from Guardian/Student's negligence or failure to disclose pertinent information.

Dispute Resolution and Governing Law

The parties agree to attempt good-faith negotiation of disputes arising under this Agreement. If unresolved, the parties agree to mediation before initiating litigation. This Agreement is governed by the applicable laws of the state in which Provider principally operates, without regard to conflict-of-law principles.

By signing below, Guardian/Student acknowledges receipt of this Agreement, agrees to the selected services and fees, and certifies that all information provided is true and complete to the best of their knowledge.
