5. Intellectual Property; Use of Materials

The Teaching Artist retains copyright in original curricular materials and artistic works created by the Teaching Artist, except that the Teaching Artist hereby grants the Organization a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and display such materials solely for educational, promotional, and administrative purposes of the Organization. Student work produced in the course of instruction may be used by the Organization for documentation and promotional purposes provided students and parents/guardians are not identified without consent.

6. Background Checks and Child Safety

The Teaching Artist affirms that they have completed all background screening, fingerprinting, and safeguarding requirements required by the Organization prior to providing services to minors. Check applicable items:

7. Insurance; Indemnity

The Teaching Artist shall maintain appropriate general liability insurance and, if applicable, professional liability insurance during the term of this Agreement. The Teaching Artist shall indemnify, defend, and hold harmless the Organization from claims arising from the Teaching Artist's negligent acts or omissions in performance of services.

8. Cancellation and Termination

Either party may terminate this Agreement for convenience upon written notice to the other party. If the Organization cancels scheduled services without at least days' notice, the Organization will pay the Teaching Artist for confirmed and preparatory work already performed and for reasonable lost fees as set forth below.

9. Compliance with Laws and Policies

The Teaching Artist agrees to comply with applicable laws, school district or facility policies while on site, and Organization rules regarding minors, safety, and equal opportunity. The Teaching Artist shall not discriminate on the basis of race, color, religion, sex, national origin, disability, or any other protected characteristic.

10. Miscellaneous

This Agreement constitutes the entire understanding between the parties and may be amended only by a written instrument signed by both parties. If any provision is held invalid, the remaining provisions remain in effect. This Agreement shall be governed by the laws of the state in which the primary services are performed.

Acknowledgment

The parties acknowledge that the Teaching Artist is an independent contractor and is not an employee of the Organization. The Teaching Artist is responsible for all taxes and benefits associated with payments received under this Agreement.
