6. Academic Obligations and Conflict with Studies

The Fellow must maintain satisfactory academic progress and meet degree program requirements. The Fellow must notify the Supervisor and Department Chair promptly of any circumstances that materially affect the Fellow's ability to perform teaching duties.

7. Confidentiality; Intellectual Property

The Fellow shall protect confidential information obtained in the course of the fellowship and comply with Institution policies regarding intellectual property. Unless a separate written agreement provides otherwise, scholarly works and course materials created by the Fellow shall be owned as set forth in institutional policy; the Fellow grants the Institution a non-exclusive license to use teaching materials for educational purposes.

8. Termination, Suspension, and Leave

The Institution may terminate or suspend the Fellowship for cause, for failure to meet academic or professional obligations, or for material breach of this Agreement, in accordance with applicable institutional procedures. The Fellow may resign by providing written notice to the Supervisor and Department Chair. Final stipend payments and tuition adjustments upon termination will be handled according to institutional payroll and tuition policies.

9. Compliance with Policies and Laws

The Fellow agrees to comply with all applicable institutional policies, codes of conduct, and laws. Violation of such policies may result in disciplinary action, including termination of the Fellowship.

10. Indemnification and Liability

To the extent permitted by law, the Institution shall defend and indemnify the Fellow for claims arising out of performance of assigned duties within the scope of the Fellowship. The Fellow shall comply with directions and reasonable instructions and shall not act beyond assigned responsibilities.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state or jurisdiction in which the Institution is located. Disputes arising under this Agreement shall be resolved pursuant to the Institution's internal procedures and applicable law.
