Assignor desires to convey and assign to Assignee all of its interest in certain pipeline systems, rights-of-way, easements, permits, and licenses identified in this Assignment. For valuable consideration, the receipt and sufficiency of which is acknowledged, Assignor bargains, sells, transfers, assigns, and conveys to Assignee, all of the following: 1. All of Assignor’s rights, title, interests, and estate in and to pipe, valves, meters, compressors, fittings, and all components parts, accessories, machinery, structures, equipment and other personal property used or claimed by Assignor and situated on or held for use in connection with the interest, rights, and property conveyed and shown on Exhibit “A” attached to this Assignment and made a part of it. 2. All of Assignor’s rights, title, interests, and estate, in and to all of the rights-of- way, easements, permits and licenses listed on Exhibit “B” attached to thi s Assignment. It is Assignor’s intent to assign, sell, and convey to Assignee all of Assignor’s rights, title, interests, and estate in and to the pipeline systems commonly referred t o by Assignor as the _____. This Assignment is expressly made subject to the terms and provisions of the rights-of- way, permits, and licenses listed on Exhibit “B,” including any provisions contained in the m requiring the prior written consent to assign the rights-of-way, permits and licenses. ASSIGNOR MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, AS TO THE CONDITION OF THE PERSONAL PROPERTY OR TO ITS FITNESS FOR ANY PROPOSE. THE SALE IS MADE ON AN “AS IS – WHERE IS” BASIS. FURTHER, ASSIGNOR MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, AS TO THE VALIDITY OR STATUS OF Page 2 of 2 THE RIGHTS-OF-WAY, EASEMENTS, PERMITS, LICENSES, OR ANY OTHER RIGHTS OF ASSIGNOR. This Assignment shall be binding on and inure to the benefit of Assignor and Assignee, and their respective successors and assigns. To have and to hold, the described property, to Assignee, its successors and assigns, forever, and Assignor, for itself and its successors, covenant that the same are free and c lear of all liens and encumbrances created by Assignor, and that Assignor will warrant title to the same against the lawful claims of all parties who may claim the same by, through, or under Assignor, subject, however, to the restrictions and provisions stated above.
