All training materials, curricula, source code samples, and instructional content provided by the Provider remain the Provider's intellectual property. Participant is granted a limited, non-transferable right to use materials for personal learning and internal job-related use only, subject to confidentiality obligations described below. Unauthorized copying, distribution, or commercial use is prohibited.

6. Confidentiality and Data

Participant and Provider each agree to maintain the confidentiality of Proprietary Information disclosed in connection with the training. Proprietary Information does not include information that is publicly known without breach of this Agreement or independently developed without reference to the other party's confidential information.

7. Warranties, Liability and Indemnity

Provider warrants that it will deliver the training with commercially reasonable skill and care. EXCEPT AS EXPRESSLY STATED, THE PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE PROVIDER'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT IS LIMITED TO THE AMOUNTS ACTUALLY PAID BY THE PARTICIPANT TO THE PROVIDER UNDER THIS AGREEMENT DURING THE SIX MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. PARTICIPANT SHALL INDEMNIFY AND HOLD HARMLESS THE PROVIDER FROM CLAIMS ARISING FROM PARTICIPANT'S BREACH, NEGLIGENCE OR MISUSE OF MATERIALS.

8. Termination

Either party may terminate this Agreement for material breach if such breach remains uncured for thirty (30) days after written notice. Provider may terminate for non-payment immediately. Termination does not relieve Participant of payment for services already performed. Refunds, if any, will be governed by the refund policy stated above.

9. Student Obligations, Safety and Conduct

Participant agrees to comply with Provider's rules of conduct, safety protocols, and any facility or remote access requirements. Provider reserves the right to remove a Participant for misconduct, unsafe behavior, or actions that materially disrupt instruction; removal does not necessarily entitle Participant to a refund.

Provider may record lectures, demonstrations, and workshops. Participant grants Provider a royalty-free, perpetual license to use photographs, video, and audio recordings in which Participant appears for promotional or instructional purposes, unless Participant has indicated objection below.

This Agreement shall be governed by the laws of without regard to conflict of law principles. Parties agree to attempt negotiation in good faith prior to initiating formal legal proceedings.

If Participant is under 18 years of age, a parent or legal guardian must sign this Agreement on Participant's behalf.
