Cancellation, Refund and Withdrawal Policy

The parties agree that any cancellation or withdrawal shall be governed by the following terms. If written notice of withdrawal is received by the Provider prior to the first scheduled class, the Trainee is entitled to a refund of tuition less the non-refundable registration fee. After commencement, refunds will be prorated based on hours delivered and any non-refundable costs; administrative processing and reasonable costs incurred by the Provider will be deducted. Refunds will not be provided for failure to attend assigned sessions once instruction has commenced unless otherwise required by applicable law.

Attendance, Assessment and Certification

Trainee acknowledges attendance requirements, assessment criteria, and standards of proficiency required for successful completion. Provider will award a certificate of completion where the Trainee satisfies attendance and assessment requirements. Provider retains discretion to withhold certification for failure to meet academic or conduct standards.

Materials, Equipment and Property

Provider will provide the materials expressly listed below. Trainee is responsible for personal equipment identified as required. All training materials remain the property of the Provider unless otherwise stated. Trainee shall not reproduce or distribute proprietary materials without the Provider's written consent.

Confidentiality, Intellectual Property and Use of Results

All intellectual property created by the Provider prior to or independently of the training remains the Provider's property. Any materials, curricula, assessments, and proprietary content provided during the training are confidential and for the Trainee's internal educational use only. Trainee agrees not to copy, distribute, or commercialize proprietary content without the Provider's express written permission. Work product produced jointly will be governed by a separate written agreement unless explicitly assigned herein.

Liability, Indemnity and Insurance

To the maximum extent permitted by law, the Provider's liability for direct damages arising from the training shall be limited to the amount of tuition paid by the Trainee. Provider is not liable for incidental, consequential, special, or punitive damages. Trainee agrees to indemnify and hold harmless the Provider, its officers, employees, and agents from claims arising out of the Trainee's negligence, misconduct, or breach of this Agreement. Trainee is responsible for maintaining any personal insurance the Trainee deems necessary.

Termination

This Agreement may be terminated by the Provider for material breach, failure to pay, or for misconduct following written notice. The Trainee may withdraw in accordance with the Cancellation, Refund and Withdrawal Policy set forth above. Upon termination, obligations that by their nature survive termination shall remain in effect, including confidentiality and indemnity clauses.

Dispute Resolution and Governing Law

The parties will attempt to resolve disputes in good faith. If a dispute cannot be resolved within 30 days of written notice, the parties agree to submit the dispute to binding arbitration conducted by a neutral arbitrator selected by mutual agreement, unless otherwise prohibited by law. This Agreement shall be governed by the substantive laws of the state specified below, without reference to choice-of-law principles.

By signing below, the Trainee (or Parent/Guardian if Trainee is a minor) and the Provider acknowledge and agree that they have read, understand, and accept the terms of this Training Contract. Trainee represents that all information provided in this Agreement is true and correct, and that the Trainee has the authority to enter into this Agreement or, if under 18 years of age, that the undersigned parent or legal guardian has the authority to bind the Trainee to these terms.
