Responsibilities of the Training Partner

The Training Partner shall: (a) deliver the Program in accordance with the curriculum, schedule and learning outcomes approved by the Provider; (b) ensure all trainers hold the qualifications represented to the Provider and maintain all required background checks, clearances and licenses; (c) maintain accurate records of attendance, assessment results and learner communications and provide copies to the Provider upon request; and (d) comply with all applicable laws, regulatory requirements and accreditation standards relevant to Program delivery.

Responsibilities of the Provider

The Provider shall: (a) supply the official curriculum, assessment criteria and certificate templates; (b) review and approve candidate assessment results prior to certificate issuance; (c) provide access to Provider materials and trainer guidance as reasonably required; and (d) make timely payment to the Training Partner in accordance with the Fees and Payment provisions below.

Students, Enrolment and Certificates

The parties acknowledge that enrollment of learners shall be conducted in accordance with Provider policies. Certificates of completion or competency will only be issued by the Provider following verification of assessments and compliance with attendance and assessment criteria. The Training Partner shall keep secure student records for a minimum of years and shall provide copies on reasonable request.

Quality Assurance, Monitoring and Audit

The Provider shall have the right to monitor delivery and to audit Training Partner records relating to the Program. Audits will be scheduled with not less than days' prior written notice, except in cases of suspected non-compliance where immediate audit rights apply. The Training Partner shall promptly remedy any deficiencies identified by the Provider and shall bear the cost of remedial actions where such deficiencies arise from the Training Partner's failure to comply with this Agreement.

Confidentiality and Data Protection

Each party shall maintain the confidentiality of Confidential Information disclosed by the other party and shall not use such information except for the performance of this Agreement. The Training Partner shall process personal data of learners only on documented instructions from the Provider and shall implement appropriate technical and organizational measures to protect personal data against unauthorized processing, loss or destruction.

Intellectual Property and Materials

All Provider-owned course materials, trademarks and intellectual property remain the sole property of the Provider. The Training Partner is granted a limited, non-transferable license to use Provider materials solely for delivery of the Program during the Term. The Training Partner shall not reproduce, distribute or modify Provider materials except as expressly authorized in writing.

Insurance and Indemnity

The Training Partner shall maintain and provide evidence of insurance including public liability, professional indemnity and workers' compensation coverage at levels sufficient for the activities carried out under this Agreement. Minimum combined single limit for professional indemnity and public liability shall be unless otherwise agreed in writing.

Each party shall indemnify, defend and hold the other harmless from and against any third-party claims, liabilities, losses or expenses arising from the indemnifying party's negligence, willful misconduct, breach of this Agreement or violation of law in connection with Program delivery, except to the extent caused by the other party's breach or negligence.

Termination

This Agreement may be terminated by either party for convenience upon days' written notice. Either party may terminate immediately for material breach, insolvency or where required by law. On termination the Training Partner shall cease use of Provider materials and return or destroy confidential information and learner records as directed by the Provider.

Warranties, Representations and Disclaimers

Each party warrants that it has the authority to enter into this Agreement and will comply with applicable laws. The Training Partner warrants that training services will be performed with reasonable skill and care and in accordance with the Provider's standards. Except as expressly set out in this Agreement, no party makes any other warranty, express or implied.

Dispute Resolution and Governing Law

The parties shall attempt to resolve disputes by good faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation prior to any court proceedings. This Agreement is governed by the laws of .

Notices

All notices under this Agreement shall be in writing and delivered to the contact details set out in the Parties section above, or to such other address as either party may designate by notice.

General Provisions

This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes prior agreements.
