TRAINING PROVIDER AGREEMENT

This Training Provider Agreement (the Agreement) is entered into effective as of by and between Training Provider: and Client: . The parties agree as follows.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the scheduled start of the Program. Client agrees to pay for services rendered and non-cancelable costs incurred through the effective date of termination.

Each party shall maintain the confidentiality of the other party's confidential information and shall not disclose such information to third parties except as required by law. Provider shall protect Participant personal information and shall use such data only for purposes of performing the Program.

Provider shall maintain commercial general liability and professional liability insurance in amounts sufficient for the performance of the Program and shall provide certificates of insurance upon Client request. Provider shall keep accurate attendance and performance records for Participants and shall deliver evaluation reports to Client within days following Program completion.
