TRAINING PROVIDERS AGREEMENT

Parties and Effective Date

This Training Providers Agreement (the Agreement) is made and entered into as of (Effective Date), by and between:

WHEREAS, Training Provider provides professional educational and training services in the subject areas described herein; and

WHEREAS, Client seeks to engage Training Provider to deliver training to Client's participants on the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows.

1. Scope of Services

1.1 Training Provider shall provide the training services described below (Services). The Services shall include course content, instructional delivery, assessment where applicable, and provision of training materials as specified.

3. Fees, Invoicing and Payment

3.1 Client shall pay Training Provider the fees set forth below in accordance with the payment schedule. Fees do not include applicable taxes unless expressly stated.

3.2 Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Client is responsible for all reasonable collection costs for overdue amounts.

4. Cancellation, Rescheduling and Refunds

4.1 Client may cancel or reschedule a scheduled training by providing written notice to Training Provider. Cancellation fees apply as follows:

5.1 Training Provider represents and warrants that it shall: (a) perform Services in a professional and workmanlike manner consistent with industry standards; (b) ensure instructors have the qualifications, certifications, and background checks required by applicable law and Client policies; and (c) comply with all applicable laws and regulatory requirements.

6. Confidentiality and Data Protection

6.1 Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not use or disclose such information except as necessary to perform this Agreement or as required by law. Training Provider shall handle participant personal data in accordance with applicable privacy laws and Client instructions.

7. Intellectual Property

7.1 Training Provider retains ownership of pre-existing materials and all intellectual property created by Training Provider in connection with the Services, except that Client shall receive a non-exclusive, non-transferable license to use training materials for internal educational purposes only, subject to confidentiality and copyright restrictions.

8. Insurance, Indemnity and Limitation of Liability

8.1 Training Provider shall maintain commercial general liability and professional liability insurance in amounts sufficient for the Services. Upon request, Provider shall furnish certificate(s) of insurance to Client.

8.2 Each party agrees to indemnify, defend and hold harmless the other from claims arising out of its negligence or willful misconduct. Except for willful misconduct or breach of confidentiality, neither party's liability for direct damages shall exceed the total fees paid under this Agreement for the specific Services giving rise to the claim.

9. Term, Termination and Remedies

9.1 This Agreement shall commence on the Effective Date and continue until completion of the Services unless earlier terminated in accordance with this Section. Either party may terminate for material breach if the breach is not cured within thirty (30) days following written notice. Client may terminate for convenience upon thirty (30) days' prior written notice subject to payment for Services performed and non-cancellable costs.

10. Records, Reporting and Audit Rights

10.1 Training Provider shall maintain complete and accurate records of Services performed, participant attendance and assessment results. Client shall have the right to audit such records upon reasonable prior notice during normal business hours to verify compliance with this Agreement.

11. Student / Participant Policies

11.1 Training Provider shall ensure participants meet eligibility requirements identified by Client. Provider shall enforce Client's code of conduct and safety rules while providing Services and shall promptly report incidents and injuries to Client.

12. Notices

12.1 All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as the receiving party designates in writing.

13. Miscellaneous

13.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter. Amendments must be in writing signed by authorized representatives of both parties.

13.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction agreed by the parties.
