Cancellation and Rescheduling

Client must provide at least hours' notice to cancel or reschedule a session. Cancellations with less notice may be charged the full session fee unless due to illness or emergency as determined reasonably by the Tutor. Make-up sessions will be provided at the Tutor's discretion and subject to scheduling availability.

Tutor Obligations and Standards

Tutor represents and warrants that Tutor has the qualifications, skill, and experience necessary to provide the services described in this Agreement. Tutor agrees to maintain professional conduct, timely communication regarding scheduling and progress, and to maintain confidentiality of the student's records and personal information except as required by law.

Tutor has provided client with documentation of background check and relevant certifications.

Student/Parent Obligations

Client agrees to ensure the student attends sessions on time, completes assigned work, informs Tutor promptly of absences, and provides a suitable learning environment. Client is responsible for timely payment of fees and for communicating any special needs or medical conditions.

Confidentiality, Recordings, and Intellectual Property

All student records and communications are confidential. Tutor will not disclose personal information except as required by law or with Client's written consent. Recording of sessions by either party is prohibited unless both parties provide prior written consent. Materials prepared by the Tutor for the Student remain the property of the Tutor unless otherwise agreed in writing; Client is granted a limited license to use provided materials for the student's private educational purposes only.

Liability, Indemnification, and Insurance

Tutor is an independent contractor and is not an employee of the Client. To the fullest extent permitted by law, Client and Tutor agree to indemnify and hold each other harmless from claims arising from their respective acts or omissions. Tutor's liability for any claim related to this Agreement shall be limited to the total fees paid by Client to Tutor under this Agreement in the three months preceding the event giving rise to the claim.

Termination

Either party may terminate this Agreement with days' written notice. Immediate termination is permitted for material breach, dishonesty, or conduct that endangers the student.

Dispute Resolution and Governing Law

The parties agree to negotiate in good faith to resolve disputes. If resolution is not achieved, the parties agree to submit to mediation prior to initiating litigation. This Agreement shall be governed by the laws of the state of , without regard to conflict of laws principles.

Acknowledgments and Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes prior agreements regarding the subject matter. Any amendment must be in writing and signed by both parties.
