Limitation of Liability: Provider's liability for any claim arising out of this Agreement shall be limited to direct damages not to exceed the total fees paid by Client for the three (3) months preceding the claim. Indemnification: Client agrees to indemnify and hold harmless Provider against claims arising from Client's breach of this Agreement, misuse of materials, or intentional misconduct by the student.
