TUTOR LICENSE AGREEMENT

This Tutor License Agreement (the "Agreement") is entered into as of (Effective Date), by and between the entity identified as Licensor below and the individual or entity identified as Licensee below. Licensor grants Licensee a limited license to provide tutoring services under the terms set forth herein.

Licensor hereby grants Licensee a non-exclusive, non-transferable license to provide tutoring services to the students identified above and to use Licensor's curricula, instructional materials, and relevant proprietary resources solely for the provision of those services during the Term, subject to the terms and conditions of this Agreement.

Services to be provided include individualized instruction, lesson planning, progress reporting, and participation in required meetings. Licensee shall perform services in a professional manner consistent with Licensor's standards and policies.

Term and Termination

The term of this Agreement begins on the Effective Date and continues for a period of months unless earlier terminated as provided herein. Either party may terminate for convenience upon days prior written notice. Licensor may terminate immediately for cause, including but not limited to material breach, substantiated misconduct, or failure to maintain required credentials.

Tutor Qualifications, Background Checks and Compliance

Licensee represents and warrants that Licensee possesses all certifications, credentials, and authorizations required to provide the Services. Licensee consents to and shall cooperate with Licensor's background checks, fingerprinting, and reference verification as a condition precedent to providing services.

Schedule, Hours and Location

Scheduled sessions, locations, and expected weekly hours shall be set by mutual agreement. Primary location for services:

Compensation; Invoicing

Licensee shall be compensated at the rate of $ per hour for approved sessions. Payments will be made upon submission of timely invoices and approval by Licensor within days. Licensee shall maintain accurate time and attendance records and submit them with each invoice.

Materials and Intellectual Property

All curricular materials, lesson plans, proprietary guides, assessments, and student records provided by Licensor are Licensor's confidential property. Licensee is granted a limited license to use such materials solely for performance of Services. Licensee shall not reproduce, distribute, or create derivative works except as expressly authorized in writing. Any improvements or modifications to Licensor materials made by Licensee in connection with services shall be the exclusive property of Licensor.

Confidentiality and Student Data

Licensee shall maintain the confidentiality of student records and personal information in accordance with applicable law and Licensor policy. Licensee shall not disclose student data except as necessary to perform the Services or as required by law. On termination, Licensee shall return or securely destroy confidential materials as directed by Licensor.

Insurance, Indemnification and Liability

Licensee shall maintain appropriate liability insurance and, where required, workers' compensation coverage. Licensee shall indemnify and hold harmless Licensor from claims arising from Licensee's negligent acts, omissions, or willful misconduct in the performance of Services, except to the extent caused by Licensor's gross negligence or willful misconduct.

Recordkeeping and Audit

Licensee shall retain records relating to services, attendance, and invoices for a period of at least three years and shall permit Licensor or its designees to audit such records upon reasonable notice.

Compliance with Policies; Performance Standards

Licensee agrees to follow Licensor's instructional practices, discipline policies, safety procedures, and all applicable laws and regulations. Licensor reserves the right to observe sessions, require remedial training, and remove Licensee from service for documented performance concerns.

Notices

All notices under this Agreement shall be in writing and delivered to the contact addresses set forth above or to such other address as a party may designate in writing.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state indicated by Licensor's principal place of business. The parties agree to attempt good faith negotiation to resolve disputes and, if unresolved, to submit disputes to mediation prior to initiating litigation.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings. No amendment shall be effective unless in writing and signed by both parties. If any provision is held unenforceable, the remainder shall remain in full force and effect.
