Subject to payment of the Fees and compliance with this Agreement, Tutor grants Student a non-exclusive, non-transferable, revocable license to access and use the tutoring materials provided by Tutor solely for Student's personal educational use during the Term. All proprietary rights, including copyright and moral rights, in tutoring materials, lesson plans, recordings, and assessments provided by Tutor remain vested in Tutor.

Student shall not reproduce, distribute, publicly perform, or create derivative works from Tutor materials except as expressly permitted in writing. Any unauthorized use is a material breach of this Agreement.

Warranties, Indemnity and Limitation of Liability
