Materials, Assignments, and Academic Integrity

Tutor will provide or recommend instructional materials as necessary. Client is responsible for costs of textbooks or third-party materials unless otherwise agreed in writing.

Client and Student acknowledge that Tutor will not complete assignments or tests on behalf of the Student and that use of tutoring services for academic dishonesty is strictly prohibited.

Confidentiality and Records

Tutor will treat student information and session content as confidential except where disclosure is required by law or authorized by Client. Tutor maintains records of sessions and progress. Requests for records must be made in writing.

Liability, Indemnity, and Insurance

Tutor shall exercise reasonable care in providing services. EXCEPT WHERE PROHIBITED BY LAW, TUTOR'S LIABILITY FOR CLAIMS ARISING OUT OF THIS AGREEMENT IS LIMITED TO AMOUNTS PAID BY CLIENT TO TUTOR FOR THE AFFECTED SESSIONS. CLIENT AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS TUTOR FROM THIRD-PARTY CLAIMS ARISING FROM CLIENT'S OR STUDENT'S ACTIONS.

Termination

Either party may terminate this Agreement with written notice. If terminated by Client without cause, Client remains responsible for fees for services rendered through the effective termination date and for any sessions missed without required notice.

Dispute Resolution

The parties agree to attempt to resolve disputes arising under this Agreement through good faith negotiation. If unresolved, disputes will be resolved by binding arbitration under the rules agreed by the parties. Each party shall bear its own costs except as otherwise ordered by the arbitrator.

Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior discussions and agreements. Amendments must be in writing and signed by both parties.
