E A S E M E N T FOR AND IN CONSIDERATION of the mutual covenants and agreements herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,                   ("Grantor") hereby grants and conveys to                   , a             Limited Liability Company ("Grantee"), its successors and assigns, a perpetual, non - exclusive right of way and easement ("Easement") in, under, upon, about, over and through the property described in Exhibit "A" attached hereto and incorporated herein by reference ("Property"). 1. Ingress and Egress. The Easement granted hereby shall be for ingress and egress to, from, upon and over the Property. 2. R oa dway. The Grant ee , its successo r a nd assigns, shall have the right t o co nstruct a temporary street or road on the Property subject to such Easement for purposes of access to adjoining property owned by Grantee. 3. Dedication of Streets. The Grantor may construct a permanent street or road on the Property. The Grantor or its successors and assigns may hereafter grant or convey a portion of the Property for the construction of a permanent street or road and adjoining road with right of way and may dedicate such permanent street or road and right of way to any appropriate county or municipal governments. 4. Reversion. If the Grantor or its successors or assigns should construct a permanent street or road allowing access to Grantee's property, all right, title and interest in and to the Easement described herein shall immediately revert to the Grantor, its successors or assigns. The Grantee shall file an appropriate instrument in the land records of                   County, if requested by Grantor. 5. No Interference. Grantee shall not interfere with the Grantor's construction of such permanent street or road within the Easement. 6. Soil. The Grantee shall take no action which shall cause the soil to sink or wash away, and if such occurs, the Grantee shall fill such area with soil and shall regrade the area to its prior level and condition. 7. Termination. This Easement shall be terminated at any time by an instrument executed for such purposes and signed by the parties. 1 8. Amendment. This Easement shall be amended only by a written and recorded instrument signed by the parties or the then current owner of the Property and the Easement. 9. Binding Effect and Benefits. This Easement shall be binding upon and inure to the benefit of the parties and each one's successors and assigns, heirs, beneficiaries and personal representatives. 10. Governing Law. This Easement shall be governed by and construed and enforced in accordance with the laws of the State of                   .
