Fill and Sign the Accounts Contract Form

CONTRACT FOR THE SALE OF ACCOUNTS RECEIVABLE FOR valuable consideration, the receipt and sufficiency of which is hereby acknowledged, ______________, Seller, and ______________, Buyer, do hereby covenant, contract and agree as follows: 1. Seller agrees to sell to Buyer all of Seller's right title and interest in all accounts as listed on the attached Exhibit "A", together with all invoices representing same, and all money due or to become due on the assigned accounts and all other rights in the assigned acc ounts of any type. 2. Seller represents that: (a) The accounts represent all outstanding accounts of Seller from the sale of products or services of seller and that all goods or services represented by said accounts have been delivered or given to the account purchasers. (b) The attached Exhibit "A" sets forth the true balance of the account, account begin date and credits through the __ day of __________, ____, as well as the name and address of the account debtor. (c) No payment of the accounts is contingent upon the delivery of products or services in the future. (d) No account has been contested except as identified as follows:NONE (e) The accounts are unsecured or if secured are secured by the following: LIST (f) No defense, counterclaim, or offset exists as to any account sold. All products sold as represented by the accounts were sold in the ordinary course of business and were not subject to any lien or security interest. The proceeds of the accounts are not subject to any security interest. (g) Any funds received by Assignor on the accounts sold after the __ day of _____________, ______ will be delivered to Assignee.
