Agreement to Lease Commercial Property with Option to Purchase at End of Lease Term Lease Agreement made on the _____ day of ____________, 20_____, between _____________________________, Inc., a corporation organized and existing under the laws of the State of ____________, with its principal office located at ___________________________ _________________________________ (street address, city, county, state, zip code), referred to herein as Lessor, and ___________________________________, Inc., a corporation organized and existing under the laws of the State of ________________, with its principal office located at _______________________________________________________________ (street address, city, county, state, zip code), referred to herein as Lessee. Whereas, Lessor is the sole owner of certain land, a building and other facilities located at __________________________________________________________________________ (street address, city, county, state, zip code) and more fully described below, which it desires to lease to Lessee; and Whereas, Lessee is a corporation that desires and is empowered to lease said property; and Whereas, Lessee intends to purchase said property from Lessor at the end of the term of this Lease Agreement for a nominal sum; and Whereas, Lessor has agreed to sale said property to Lessee at the end of the term of this Lease Agreement for a nominal sum; and Whereas, the parties desire to enter into a lease agreement to define their respective rights, duties, and liabilities concerning such a lease; 1. Demise and Description of Premises Lessor hereby leases to Lessee property located at _______________________________ _______________________ (street address, city, county, state, zip code), comprising land and a building, together with the improvements on such property, and more particularly described in Exhibit A (legal description), which is attached to and made a part of this Lease Agreement. Said leased premises, including all land and improvements located on the demised premises and described in Exhibit A, are hereinafter referred to as Premises. 2. (year), which is hereby fixed and determined, except that, in the event that lessee makes payment to lessor or lessor makes payment to lessee before the end of any year in which the lessor is entitled to receive payment under the lease agreement, the shortest of the time, to the extent that such shorter time is within five years (not including the period of such longer period as may subsequently elapse) before such lessor's or lessee's earlier payment is applied toward payment of the lease remaining unpaid, or the length of time, to the extent that such shorter time is within five years (not including the period of such longer period as may subsequently elapse) before such lessee's earlier payment is applied toward payment of the lease remaining unpaid, as the case may be, is the reasonable period reasonably necessary for the lessee to acquire the right to occupy the premises at the end of the term set forth in paragraph 1. 3. Rents for the premises the rent for such premises as will be determined by the parties during the term of the lease herein provided for shall be one rental per person (or fraction thereof) for each month that the lessor occupies the premises as lessee, payable biweekly from the date of the lease to the end of any subsequent month. Rent may be payable in installments, as prescribed in the applicable lease for a longer term, not less than three months. 4. Other rights, duties, and liabilities of the lessee and lessor the lessee agrees that it will: (a) take all reasonable care to keep the premises clean, safe, sanitary, and in operable condition, subject to reasonable control; (b) supply proper and sufficient water and electricity for each premise during the term of the lease; (c) provide and maintain an adequate sewage disposal system within the premises, except where a smaller system has been installed by lessor prior to the lease contract and the lessor has been responsible for installing and maintaining this system at a cost less than the cost of this system; (d) furnish the lessor with all necessary telephone and telegraph facilities to enable the lessor to render information relating to the premises to the lessee; (e) pay to the lessor upon termination of the lease all past and present rent due or due within the twelve-month period immediately following the occurrence of the termination. 5. Lease provisions the lease agreement shall set forth the terms and conditions under which the sale and delivery of such premises shall occur, and provide for the payment.
