Agreement by Advertising/Talent Agency to Act as a Nonexclusive Talent Agency for Performer regarding Dancing Performances and Serving as a Model and/or Hostess at Promotional Events Agreement made on the ______________________ (date) , between _____________________________________ (Name of Advertising/Talent Agency) of ____________________________________________________________________ _______________________________ (street address, city, county, state, zip code) , a corporation organized and existing under the laws of the state of _________________, with its principal office located at ____________________________________________ _______________________________ (street address, city, county, state, zip code) , referred to herein as (the Agency) , and _______________________________ (Name of Performer) of ________________________________________________________ ______________________________ (street address, city, county, state, zip code) , referred to herein as Performer . For and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Performer hereby employs the Agency as her nonexclusive agent to secure her with employment contracts as a dancer at exotic dance venues, and a model and/or hostess at promotional events and trade shows throughout _______________________ ________________________ (geographical limitation, if any) . Performer does hereby authorize the Agency to negotiate contracts for the rendition of Performer's professional services. This contract will automatically renew in one year increments _____ (number) times (for a total of ______ years) unless either party terminates the Agreement in writing by certified mail. 2. Talent fees typically come to the Agency. However, if I receive any monies directly from a client Performer will immediately forward the check or cash to Agent and receive a check in return for the amount due as a performer. 3. As compensation for the services to be rendered hereunder, Performer hereby agrees to pay Agency a sum equal to ________% of all monies or things of value as and when received by Performer directly or indirectly, as compensation for the professional services rendered or agreed to be rendered during the term hereof under contracts, or any extensions, renewals, modifications, or substitutions thereof, entered into or negotiated during the term hereof. 4. Performer acknowledge that the compensation payable to Agency pursuant to my services is in addition to any service fee Agency might or shall receive from the client for whom Performer renders services and said sum shall not reduce the commission payable to Agency by Performer. 5. Agency is authorized and empowered by Performer to approve and permit the use of Performer's name, photograph, likeness, and voice in connection with her services in the entertainment industries as outlined above in connection with those uses, purposes and projects described herein. Agency is further authorized to contract for, bill, collect and receive sums payable and derived from Performer's services, and upon receipt of the sums, to deposit them in the Agency's accounts, directly, and to deduct therefrom all sums owing to Agency pursuant to this Agreement and pay the remainder to Performer. All payments owed to Performer will be paid by Agency within _____ days of the subject performance. 6. Agency is authorized to sign photographic and other releases for Performer consistent with the terms and provisions of this Agreement and any specific project or booking. 7. Subject to Performer's availability, Agency hereby agrees to use all reasonable efforts to procure employment for Performer in the field of exotic dance, trade show hostess and/or photographic model. 8. Typical duties as a model will include at times such activities as modeling garments and other apparel in order to display such clothing before prospective buyers at fashion shows, private showings, retail establishments, or for a photographer. Modeling also may include posing for photos to be used for advertising purpose, and posing as a subject for paintings, sculptures, and other types of artistic expression. 9. Typical duties as a trade show or promotional hostess will include such activities as: attracting attention to the client's product, generating leads for the client, meeting and greeting potential and existing buyers in a professional manner, directing potential clients to the appropriate staff, and distributing promotional materials. 10. Performing as an exotic dancer will include such activities as performing in choreographed stage shows, performing lap dances, cabaret style dance, pole dancing and/or personal choreographed dancing, 11. Performer represents and warrants that in performing her obligations under this Agreement, she is acting as an independent contractor and not as an employee of the Agency. Nothing contained in this Agreement shall be deemed to create any relationship between the parties except the independent contractor relationship specified in this Agreement. 12. The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 13. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of ________________. 14. Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 15. Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 16. This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 17. Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 18. The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party. 19. This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute but one and the same instrument.
