Contract Between Consultant and Advertising Agency Consulting Agreement made on the _____________________________________ (date) , between _______________________________________ (Name of Company B) a corporation organized and existing under the laws of the state of __________________, with its principal office located at ____________________________________________ ________________________________________________________________________ ________ (street address, city, county, state, zip code) , referred to herein as Company B , and (Company C) , a corporation organized and existing under the laws of the state of ____________________, with its principal office located at _______________________ ________________________________________________________________________ ________ (street address, city, county, state, zip code) , referred to herein as Company C . Whereas, C ompany B is in the advertising business, and has entered into a contract with Company A _________________________________________ (Name of Company A) , a corporation organized and existing under the laws of the state of _______________________, with its principal office located at ____________________ ________________________________________________________________________ ________ (street address, city, county, state, zip code) , referred to herein as Company A ; and Whereas, a copy of said contract between Company A and Company C in attached hereto as Exhibit A, and made a part hereof; and Whereas, in carrying out its contractual obligations to Company A, Company B desires to have the following analytical and consulting services performed by Company C (briefly describe analytical services to be performed) ___________________________ ________________________________________________________________________ ________________________________________________________________________ ____________________________________________________________________; and Whereas, Company C agrees to perform these services for Company B pursuant to the terms and conditions set forth in this Agreement. Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Nature of Work Company C will perform said analytical consulting and advisory services on behalf of C ompany B . 2. Place of Work It is understood that the services of Company C will be rendered principally at ________________________________________________________________________ ________________________________________________________________________ (street address, city, county, state, zip code) , but that Company C will, on request, come to the offices of Company B at _______________________________________________ ________________________________________________________________________ ________________ (street address, city, county, state, zip code) , or such other places as designated by Company B , to meet with representatives of Company B . 3. Time Devoted to Work In the performance of the services, the services and the hours Company C is to work on any given day will be entirely within the control of Company C and Company B will rely upon Company C to put in such number of hours as is reasonably necessary to fulfill the spirit and purpose of this Agreement. 4. Payment Company B will pay Company C the sum of $______________ within two weeks of receipt of payment from Company A pursuant to said Contract attached as Exhibit A . 5. Duration The parties contemplate that this Agreement will run for __________ (number of months or weeks) from date of this Agreement, but, in the first instance, the Agreement shall be considered as a firm commitment on the part of the parties for a period of ____________ (number of months or weeks) commencing _______________________ ________________ (date) . 6. Status of Consultant This Agreement calls for the performance of the services of Company C as an independent contractor, and Company C will not be considered an employee of Company B for any purpose. 7. Company B Not to Hire Employees of Company C Company B shall not hire, directly or indirectly, any employee or employees of Company C working on the project for at least ________ (number) days after the termination or expiration of this contract. 8. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 9. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of ___________________________. 10. Notices Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 11 . Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 12. Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 13. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 14. Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party. 15. Counterparts This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute but one and the same instrument.
