Assignment of Rights to Unpublished Manuscript Agreement made on the ____ day of ___________________________________, 20____, between and ______________________________________________________ (Name of Assignor) of _____________________________________________________ ________________________________________________________________________ ___________________________________ (street address, city, county, state, zip code), referred to herein as Assignor, and ___________________________________________ (Name of Assignee) of _____________________________________________________ ________________________________________________________________________ ___________________________________ (street address, city, county, state, zip code), referred to herein as Assignee. Whereas, Assignor is the author of an unpublished manuscript entitled ________________________________________________________________________ (Name of Manuscript), which is hereafter referred to as Manuscript, and which is ready for publication into book form; andWhereas, Assignor desires to assign all of his rights to, title to, and interest in Manuscript to Assignor with the understanding that Assignor will always be recognized as the Author in a prominent place upon the publication or re-printing of the Manuscript; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1.Assignment of Rights Assignor hereby grants, sells, and assigns to Assignee, all of his rights to, title to, and interest in Manuscript, including the exclusive right to publish the Manuscript in any language in book form in the United States and elsewhere; provided, however, Assignee agrees that Assignor will always be recognized as the Author in a prominent place upon publication or re-printing of the Manuscript and that the title of any publication or re- printing of the Manuscript may be changed only by written consent of Assignor. 2.Copyright Included in this Assignment is the right to copyright the Manuscript in the United States and elsewhere. The term elsewhere, as used herein, means anywhere outside of the United States of America. 3.Warranty Assignor represents that he is the sole proprietor of the Manuscript; the Manuscript does not infringe any existing copyright; the Manuscript has not previously been published in book form; and to the best of Assignor’s knowledge, the Manuscript contains no libelous or other unlawful matter. Assignor shall indemnify Assignee against any claim, demand, or recovery finally sustained in any proceedings brought against Assignee by reason of any violation of proprietary right or copyright, or any unlawful matter contained in the Manuscript. Assignee shall notify Assignor of any such claim, demand, or action and give Assignor such reasonable time as the exigencies of the situation will permit, to meet such claim or to undertake his defense. 4. Delivery of Manuscript Assignor shall deliver to Assignee on or before ____________________________ ______________________ (date) a complete copy of the Manuscript. 5.Choice of Law This agreement shall be construed according to the laws of the State of ___________________________________________. 6.
