IV. Independent Contractor Status
The parties intend that an independent contractor relationship will be created by this
agreement and __________ is not to be considered an agent or employee of __________ for

V. Miscellaneous
A. This agreement contains the entire understanding of the parties relating to the
subject matter and cannot be changed or terminated, except by an instrument signed by
__________ and __________ . A waiver by either party of any term or condition of this
agreement in any instance shall not be deemed or construed as a waiver of such term or condition
for the future, or of any subsequent breach. All remedies, rights, undertakings, obligations, and
agreements contained in this agreement shall be cumulative and none of them shall limit any
other remedy, right, undertaking, obligation or agreement of either party.
B. Neither party may assign any of his/her rights under this agreement, or delegate
the performance of any of his/her duties hereunder, without the express prior written consent
of both parties.
C. Notwithstanding the foregoing, and anything herein to the contrary, any dispute
under this agreement shall be required to be resolved by binding arbitration of the parties
hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and
both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said
dispute. The arbitration shall be governed by the rules of the American Arbitration
Association then in force and effect.
D. The validity, interpretation and legal effect of this agreement shall be governed by
the laws of the State of ___________ with respect to the determination of any claim, dispute, or
disagreement which may arise out of the interpretation, performance, or breach of this
agreement.
E. If any provision of this agreement is held unenforceable, then such provision will
be modified to reflect the parties’ intention. All remaining provisions of this agreement shall
remain in full force and effect.
