International Agreement for Production of Haunted House Experience Agreement made _________________________ (date) , between _____________________________________________ (name of Corporation) , a Corporation organized and existing under the laws of ___________________________ ( name of country) , with its principal office located at ____________________________ ______________________________________________________________________ (address) , hereinafter referred to as Corporation, and ___________________________ (name of Producer) , a Corporation organized and existing under the laws of ____________________ ( name of state) , with its principal office located at __________ ______________________________________________________________________ (address) , of hereinafter referred to as ____________________________ (Producer) . 1. Employment and Duties of Producer A. Statement of Hiring Corporation employs Producer to perform its services as the Producer of its Haunted House Experience (the Production ) to commence on or before _________________________ (date) , at (describe location, e.g., Corporation's studios) ____________________________________ at ________________________________________________________ (address) with said Production to run __________ (number of times) per day at ________ (times) for _______________ (number of days, weeks etc.) . B. Supervision of Producer The parties intend that an independent contractor-employer relationship will be created by this contract. Corporation is interested only in the results to be achieved, and the conduct and control of the work will lie solely with Producer . Producer is not to be considered an agent or employee of Corporation for any purpose, and the employees of Producer are not entitled to any of the benefits that Corporation provides for its employees. It is understood that Corporation does not use Producer exclusively. It is further understood that Producer is free to contract for similar services to be performed for other clients while under contract with Producer . C. Primary Duties Producer shall render to Corporation the following services: 1. Supervise construction of the temporary building, props, and outside facades including the René room, cave, tombs and prison; 2. Provide the animation and custom sounds that are normally part of the Experience; 3. Hire and supervise the necessary employees and contract labor. D. Cost to Corporation 1. All amounts set forth in Subparagraph D are in U.S. Dollars and such costs will be payable as follows: 1. The sum of $_______________ on or before ________________ ___________ (date) ; and 2. The sum of $_______________ on or before ________________ ___________ (date) . 2. Right to use Producer’s Name and Logo Producer grants to Corporation the right to use Producer 's name and logo in connection with advertising the Experience. 3. Default of Producer A. Replacement during Default If at the time Producer is in default in the terms of this agreement, Corporation may have another person perform such services, and may suspend Producer 's services and compensation during the time reasonably required for such other person to complete such services or until Producer , at Corporation 's request, renders services under this agreement to Corporation . Corporation may elect to exercise either or both of the above rights. B. Termination of Agreement In the event of such default, Corporation may, by giving ______ days written notice to Producer, terminate this agreement. On such termination, Producer shall, on demand, repay to Corporation any compensation paid to Producer less gross revenues earned by Corporation on the Production. 4. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 5. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the United States and State of _____________________. 6. S. and London Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 7. Attorney’s Fees In the event that any lawsuit is filed in relation to this Agreement, the unsuccessful party in the action shall pay to the successful party, in addition to all the sums that either party may be called on to pay, a reasonable sum for the successful party's attorney fees. 8. Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 9. Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 10. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 11. Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party. 12. Counterparts This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute but one and the same instrument.
