Agreement to Share Office Space between Attorneys or other Professions This Agreement is made as of the day of , 20___, between ____________________ and __________________________. Whereas, each of the parties to this agreement is an attorney, licensed by the State of ______________ to practice as an attorney in said state; and Whereas, _________________________ currently leases office space in Suite ______ of the ______________ Building located at ________________________________________ (street address) (state), hereafter sometimes referred to as the A premises; @ and Whereas, _________________________ desires to share this Suite for the practice of law; Therefore, the parties hereby agree as follows: 1. Sharing of Offices. The parties will share the premises described above, together with the furniture, equipment and fixtures on the premises, for use in their respective law practices. 2. Duration. This agreement will continue in force from year to year, provided that the agreement will end on termination or nonrenewal of the lease of _________________________ of the premises described above. The agreement between the parties will also terminate on 45 days written notice by either party to the other, or at any time, providing the parties make such an agreement mutually and in writing. 3. Relationship of the Parties. The parties are not in a partnership with each other. The clients and income of each party are separate and distinct. As a matter of convenience or accommodation, one or the other of the parties may occasionally furnish legal services to a client of the other party. In such an instance, the party rendering the service will collect that party = s fee for those services from the client. The other party will not be liable for those fees. 4. Expenses. A. The parties will prorate the monthly expenses of the office space on according to the monthly gross earnings from professional fees of each party. B. The following items will be included in arriving at the total monthly expenses to be shared by the parties: 1. Rent, which for the purposes of this agreement will be ________ Dollars per month, regardless of any changes in the lease held by _________________________. 2. Employees = salaries, social security and unemployment taxes. 3. Office supplies and all other expendable items used in the operation of a lawyer = s office. 4. Maintenance of, and janitorial services for the office interior. 5. Extended coverage and fire insurance on furniture, fixtures and equipment used jointly, and depreciation on equipment used jointly. 6. Utilities. 7. Law Library. C. The following items are not included in overhead. Each party is responsible for payment of individual expenses for these items: 1. Telephones and bills for telephone service. 2. Licensing fees, professional organization dues, permit taxes and any other professional fees. 3. Individual insurance coverage, including malpractice coverage, health and accident coverage and insurance on any property not used jointly by the parties. 4. Banking charges. D. _________________________ will pay _________________________ his share of the overhead on or before the first day of each month following the month in which the overhead was incurred. _________________________ will make the necessary payments of such funds to creditors. 5. Ownership of Lease and Equipment . _________________________ will retain ownership of the lease of the premises, as well as the equipment, furniture and fixtures on the premises. 6. Restricted Use of the Premises. Use of the premises by the parties will be restricted to the practice of law. 7. Assignment of Interest . _________________________ is a subtenant of said office space, and therefore may not take a partner, or employ an associate or paralegal on the premises or assign any interest under this agreement without obtaining the prior written consent of _________________________. 8. Complete Agreement . This instrument contains the entire agreement of the parties. No modification or addition to this agreement will be binding unless it is in writing and signed by the parties. 9. Effective Date. This agreement will become effective on the day and year first above written.
