Agreement to Rent Dunk Tank and to Indemnify Owner Agreement made on the ___ day of __________, 20___, between ________________ of _______________________________ (street address, city, county, state, zip code) , referred to herein as Lessee, and __________________ , Inc., a corporation organized and existing under the laws of the state of ______________, with its principal office located at ___________________ (street address, city, county, state, zip code) , referred to herein as Lessor. Whereas, Lessor owns a dunk tank (also known as a dunking booth or dunking machine) which Lessor rents to various people and organizations as an attraction in funfairs , fundraisers , office parties, personal parties , and similar such events; and Whereas, Lessee desires to rent said dunk tank (hereinafter called Tank ) from Lessor; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Lessor hereby rents to Lessee the following-described Tank: ______________________ (Brief description). This Lease is for the ___ day of _______, 20___, from ____________ (time) to _________________ (time). 2. In consideration of this Lease, Lessee agrees to pay Lessor the sum of $________, in advance. The operation and use of the Tank shall be at the risk of Lessee, and not of Lessor. If said Tank is damaged in any way, Lessee shall promptly reimburse Lessor for the necessary repairs. 3. LESSOR MAKES NO WARRANTY OR REPRESENTATION, EITHER EXPRESS OR IMPLIED, AS TO THE FITNESS, DESIGN, OR CONDITION OF, OR AS TO THE QUALITY OR CAPACITY OF THE TANK OR WORKMANSHIP IN THE TANK , NOR ANY WARRANTY THAT THE TANK WILL SATISFY THE REQUIREMENTS OF ANY LAW, RULE, SPECIFICATION, OR CONTRACT WHICH PROVIDES FOR SPECIFIC MACHINERY OR OPERATORS, OR SPECIAL METHODS, IT BEING AGREED THAT ALL SUCH RISKS, AS BETWEEN THE LESSOR AND THE LESSEE ARE TO BE BORNE BY THE LESSEE AT LESSEE’S SOLE RISK AND EXPENSE. No oral agreement, guaranty, promise, condition, representation, or warranty shall be binding; all prior conversations, agreements, or representations related to this agreement or to the Tank are integrated in this agreement, and no modification of this agreement shall be binding unless in writing signed by Lessor. 4. Title to the Tank shall at all times remain in the Lessor and Lessee will at all times protect and defend, at Lessee’s own cost and expense, the title of the Lessor from and against all claims, liens, and legal processes of creditors of Lessee. Upon termination of this Lease, Lessee shall return the Tank to Lessor in the same condition as when received by Lessee, reasonable wear and tear alone excepted. 5. Lessee shall indemnify and save Lessor harmless from any and all liability, loss, damage, expense, causes of action, suits, claims, or judgments arising from injury to person or property resulting from or based upon the actual or alleged use, operation, delivery, or transportation of Tank, and shall, at Lessee’s own cost and expense, defend any and all suits which may be brought against Lessor, either alone or in conjunction with others upon any such liability or claim or claims and shall satisfy, pay and discharge any and all judgments and fines that may be recovered against Lessor in any such action or actions, provided, however, that Lessor shall give Lessee written notice of any such claim or demand.
