The Agreement covers certain real property located at ___________________ _________________________________________________________ (street address, city, county, state, zip code) , and legally described in the Agreement (the Premises ); and Whereas, a copy of the Agreement is attached hereto as Exhibit A and made a part of this Assignment by reference thereto; and Whereas, Assignor desires to transfer all of his interest in the Agreement to Assignee. Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Assignor hereby assigns all of his rights to, title and interest in, the Agreement to Assignee. Assignor represents and warrants that the attached copy is the complete Agreement and that the Agreement authorizes this Assignment by Assignor. 2. Assignor agrees to direct (e.g., the seller of Premises) _________________________ to sell the Premises to Assignee on the completion, satisfaction and full compliance with the terms of the Agreement. 3. Assignor represents that there are no encumbrances or other assignments affecting the interests being transferred, and that there are no defaults under the Agreement. 4. Assignee agrees to assume and be bound by all obligations of Assignor under the Agreement and all provisions of the Agreement and ratifies and confirms the Agreement as if an original party to it. 5. In this Assignment, any reference to a party includes that party's heirs, executors, administrators, successors and assigns, singular includes plural and masculine includes feminine.
