DESCRIPTIONS OF FORMS Brief descriptions of the forms contained in your Stock Certificate Package are found below. Bill of Sale and Assignment of Stock by Separate Instrument - A corporation is owned by its shareholders. An ownership interest in a corporation is represented by a share or stock certificate. A certificate of stock or share certificate evidences the shareholder's ownership of stock. The ownership of shares may be transferred by delivery of the certificate of stock endorsed by its owner in blank or to a specified person. Ownership may also be transferred by the delivery of the certificate along with a separate assignment. This form is a sample of the transfer of ownership of stock by a separate instrument. Stock Certificate for Corporation - This form is a Stock Certificate template. This document certifies that the individual listed on the form is the true and lawful owner of common or preferred shares of stock. This template can be printed on certificate-type paper for a more professional look. Affidavit for Lost, Stolen, or Destroyed Stock Certificate - If you lose a stock certificate, whether through fire, theft or some other means, replacing that certificate is a relatively straightforward process. You will need to contact the company's stock transfer agent, and you may have to post a surety bond that will cost approximately 3 percent of the value of the certificates being replaced. If you do not have an address for the company's stock transfer agent, contact the company and ask for the agent's address. Tell the company's stock transfer agent how many shares have been lost and the approximate date on which they were purchased. Assignment and Transfer of Stock - Often, as part of the stock transfer process, the Assignor is required to obtain a Medallion Signature Guarantee from an institution that belongs to the Medallion Stamp Program. The Medallion program ensures that the individual signing the form is in fact the registered owner or authorized representative. This process enables any U.S. financial institution that belongs to the Medallion Stamp Program to provide medallion signature guarantees. Such institutions include banks, credit unions, savings and loans and U.S. brokerages. Please note a Notary Public certification is not acceptable for this purpose. Stock Certificate Legend - Common Stock - Stock Certificate Legend refers to wording found on the front or back of a stock certificate which serves as notice of and a brief explanation of certain restrictions affecting the stock shares represented by that stock certificate. The reverse side of a stock certificate generally bears a form of assignment, which, when properly executed, transfers title to the stock represented by the certificate. Affidavit for Issuance of New Stock Certificate – A corporation may issue substitute certificates for those that have been lost or stolen. In many jurisdictions, the remedies with respect to replacing lost, destroyed, or stolen certificates are now covered by statutes. In issuing a new certificate to replace one that is lost or stolen, the corporation has the right to indicate on the certificate that it is a "duplicate." Generally, the owner of stock cannot compel the corporation to issue a new certificate to him or her in place of one that he or she claims has been lost or stolen, without agreeing to indemnify the corporation or an giving an indemnity bond for the corporation's protection.
