Whereas, Designer designs and creates clothing for celebrity events and related purposes; and Whereas, Company desires to hire Designer to design clothing for the event described in Paragraph I below; Now, therefore, in consideration of the matters described above, and of the mutual benefits and obligations set forth in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: I. Services to be Performed Designer shall design clothing for an event (hereinafter called Event ) to be promoted and managed by Company to be held at _________________________________________________ ______________________________________________________________________________ _________________________________________ (street address, city, county, state, zip code) in the _________________________________________________________________________ (Name of Building or Place of Performance) beginning ________________________________ (date) , and ending ______________________________________ (date) . II. Compensation Company shall pay to Designer the nonrefundable sum of $______________on execution of this Agreement and the balance of $________________when the work for the Event is completed. III. Completion Date The services of Designer for the Event are to be completed on or before _________________________________________ (date). IV. Ownership of Work Product Designer agrees that the clothing designs that are conceived, developed, and designed by Designer pursuant to this Agreement, either individually or in collaboration with others, shall be a work for hire and shall belong to and be the sole property of Company. V. Designer is Independent Contractor The parties intend that an independent contractor-employer relationship will be created by this Agreement . Company is interested only in the results to be achieved and the conduct and control of the work will lie solely with Designer . Designer is not to be considered an agent or employee of Company for any purpose and Designer is not entitled to any of the benefits that Company provides for Company’s employees. It is understood that Designer is free to contract for similar services to be performed for others while under contract with Company. VI. Liquidated Damages Designer agrees that, in the event she fails to perform this Agreement, she will pay as liquidated damages to Company, a sum equal to the money expended by Company in promotion of the Event. It is recognized and agreed that damages in such event would be difficult or impossible to ascertain, though great and irreparable. VII. Assignment of Contract Neither of the parties may assign this Agreement or any rights under the Agreement without the prior written consent of the other party. VIIII. Governing Law The parties agree that this agreement shall be governed by and construed pursuant to the laws of ________________________________________________ ( state) . IX. Entire Agreement This Agreement is the complete and exclusive statement of the mutual understanding of the parties. This Agreement supersedes and cancels all previous written and oral agreements and communications between the parties relating to the subject matter of this Agreement. X. Amendment The parties agree that they may amend this Agreement only by a written agreement duly executed by persons authorized to execute agreements on behalf of the parties. XI. Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect.
