Whereas, Employer is engaged in the __________________________________ (type of business) business and maintains business offices at the above address; and Whereas, the books and records of Employer are kept at the address referred to above; and Whereas, Accountant is in the profession of certified public accounting, in good standing with all applicable accountant licensing organizations; and Whereas, Employer desires to employ Accountant on the terms and conditions set forth in this Agreement. Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Duties of Accountant A. Auditing Group Insurance Program. Employer , by this Agreement, employs, engages and retains Accountant as a Certified Public Accountant to make an audit, valuation and abstract of all group medical, disability and life insurance policy contracts Employer has entered into pursuant to agreements with Employer 's employees and with the companies or individuals issuing such policies. B. Advice as to Reducing Costs. Accountant agrees that Accountant will, to the best of Accountant 's ability, in good faith and in conformity with standard accounting practices, counsel and advise Employer from the date of this Agreement as to means of reducing the cost of all aforementioned group insurance contracts without diminishing the amount or quality of compensation or services to be rendered to eligible employees under the terms of such contracts. C. Time to be Devoted to Business. Accountant will devote all of Accountant 's knowledge and skill solely and exclusively to the business and interest of Employer as stated in this Agreement. Accountant will devote at least ______ (number) hours per week of Accountant 's time to Employer 's business and interest. D. Conflicts of Interest Prohibited . Accountant agrees that during the term of this employment contract, Accountant will not directly or indirectly be interested in any form or manner as an officer, director, stockholder or employee in any insurance company, or with any insurance broker, who may be a party to the group medical, disability and life insurance contracts that are the subject matter of this contract. E. Confidentiality of Information. Accountant will not at any time, either directly or indirectly, reveal to any person, firm, corporation or other entity, in any manner whatsoever, any information concerning matters relating to the business, records or other business matters of Employer that Accountant may acquire in the performance of Accountant 's duties under this Agreement. 2. Duration of Contract The duration of this contract will be for a period of _______________________ (number of weeks or months) commencing on ______________________ (date) , and terminating at the conclusion of Accountant 's audit or on _____________________ ( date) , whichever is sooner. 3. Compensation and Expenses A. Compensation. Employer will pay Accountant , and Accountant agrees to accept from Employer , in full compensation for Accountant 's services under the terms of this contract, compensation in the amount of $_____________. An initial payment of _______% of such compensation will be paid to Accountant on Accountant 's completion and verification of Employer 's abstract, and the balance of said amount will be paid to Accountant on full performance by Accountant of all Accountant 's duties under the Agreement. Reimbursement for Expenses Employer agrees to reimburse Accountant for Accountant 's reasonable and necessary expenses incurred in the performance of Accountant 's duties under this contract within ______ (number) days after receipt by Employer of an itemized statement of such expenses. 4. Retainer Accountant acknowledges the receipt of $___________ as a retainer for, and credit against, the amount of compensation agreed to in this Agreement. 5. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 6. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of _______________. 7. Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 10. Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party.
