Contract to Organize and Speak at Seminar or Similar such Event Agreement made on the ___ day of __________, 20___, between ________________ of _________________________________________ (street address, city, county, state, zip code) , referred to herein as Consultant, and _______________________ , Inc., a corporation organized and existing under the laws of the state of _______________, with its principal office located at _________________________________________ (street address, city, county, state, zip code) , referred to herein as Corporation. WHEREAS, Consultant is in the business of organizing and speaking at seminars or similar such events regarding the study of ___________________________________ (describe nature of study, e.g., better nutrition) ; and WHEREAS, Corporation desires to have Consultant speak to _____________ (describe to whom seminar is directed, e.g., its employees) on the following date(s) _________________ (day, month, year) beginning at ____ ( A.M. or P.M.) regarding __________________________ (describe, e.g., better nutritional habits); and WHEREAS, Consultant agrees to perform these services for Corporation under the terms and conditions set forth in this Agreement; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Nature of Work Consultant will speak to _______________________ (describe to whom seminar is directed, e.g., Corporation’s employees) on the following date(s) ___________ (day, month, year) beginning at ____ ( A.M. or P.M.) regarding ___________________________ (describe, e.g., better nutritional habits), hereinafter referred to as the Seminar. 2. Place of Work It is understood and agreed that the Seminar will be held at Corporation’s offices located at _______________________________________ (street address, city, county, state, zip code) . 3. Time Devoted to Seminar Each session of the Seminar will last ____ hours, ending promptly at ____ ( A.M. or P.M.). 4. Payment Corporation will pay Consultant the sum of $___________ for his services. Corporation shall also promptly reimburse Consultant for all reasonable traveling and living expenses Consultant incurs in connection with the Seminar, but in no event shall such reimbursement exceed the sum of $___________. 5. Status of Consultant The parties to this Agreement agree that Consultant is a professional person, and that the relation created by this Agreement is that of an independent contractor. Consultant is not an employee of Corporation, and is not entitled to the benefits provided by Corporation to its employees, including, but not limited to, group insurance and pension plan. 6. Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect.
