The Trust is the record owner of oil, gas and mineral interests (the “Interests”) in the lands described in Exhibit “A” to this Deed. For adequate consideration, and the purpose of distributing Interests out of the Trust to the Trust beneficiaries, Grantor assigns, sells, conveys, and quit claims to each Grantee, the percentage of the Trust’s Interests, set opposite each Grantee’s name. All oil, gas, mineral, and leasehold interests in those lands described in Exhibit "A" to this Deed, including all mineral, royalty, overriding royalty, net profits, production payment, and working interests, and all other real and personal property interests in those lands. 2. All rights, benefits, interests, payments, and proceeds due under all contracts, agreements, deeds, assignments, leases, and any other instrument creating rights, benefits, and interests in oil, gas, mineral, and leasehold interests. 3. All oil, gas, mineral, and leasehold interests, as described in 1. above, in all lands located in the counties of ____ , ____ , and ____ , in the state of ____ , and any other county in that state, regardless of whether they are properly or adequately described in Exhibit "A." 4. Any and all rights, title, and interests in oil, gas, and mineral properties, wherever located, in which Grantor, has any right to, interest in, or claim to, equitably, beneficially, present or contingent, under any agreement, contract, deed, assignment, or any other instrument, arising by operation of law, or which may be created or vested upon the occurrence of an event or passage of time. This Deed may be executed in multiple original counterparts to facilitate its recording in the various counties in which Interests are located. Grantor appoints each Grantee its agent and attorney-in-fact for the following limited purposes: 1. To execute, on behalf of Grantor, all division orders, transfer orders, and directions for payment, applicable to each Grantee's interest in the Properties to enable Grantees to receive all payments attributable to the interests conveyed to each Grantee. 2. To execute, deliver, and record such additional documents, instruments, and assurances as may be advisable, requested or required to give full effect to the terms of this Deed and establish title to the Grantee's interests in the Properties. This Deed is delivered by Grantor and accepted by Grantees without warranty of title, express or implied, but Grantees are subrogated to all warranties of title which Grantor is entitled to in all instruments creating or transferring the interests in Properties to Grantor, as Trustee, and its predecessor in title.
