Listing Agreement Granting a Broker or Realtor the Exclusive Right to Sell Commercial Property or Real Estate 1. Right to Sell John Smith Ltd., the A Owner @ (whether an individual, partnership, limited liability company, corporation, or other entity) hereby employs and grants to Real Estate Company, the A Broker, @ the exclusive and irrevocable right, for a term commencing on (date) and expiring at Midnight on (date) (the A Term @ ) to sell or exchange the real property ( A Property @ ) situated in __________ County, (state) more particularly described as follows: (Description of Property) 2. Terms of Sale The listed sales price shall be $___________________________. In addition, the sale shall be subject to the following terms: (a) Evidence of title to the Property shall be by warranty deed and certificate of title by an attorney, based upon which an Owner = s Title Insurance Policy showing marketable title in Owner, may be obtained from a title insurance company qualified to do business in (state) . Reasonable time shall be allowed after execution of a sales contract for preparation of said certificate and deed. Should examination reveal defects which can be cured, Owner agrees to cure such defects as expeditiously as possible. (b) Owner warrants that he is owner of the property or has the authority to execute this Agreement. Owner hereby authorizes Brokers to market the property. 3. Compensation to Brokers Owner hereby agrees to compensate Brokers as follows: (a) Owner shall pay, at Closing, to Broker a ______ percent (__%) Commission (the A Commission Percentage @ ) of the listed price if during the Term hereof or the Registration Period , as hereinafter defined, a valid written offer is made at the price and terms specified above. In addition, if the property is sold by Broker or any other person or by Owner for any other price and/or under any other terms during the Term hereof or the Registration Period, Owner agrees to pay Broker as their commission the Commission Percentage of the selling price. (b) The Commission Percentage of the listing price or the sales price shall be paid to Brokers if the properly is sold, conveyed or otherwise transferred within one hundred and eighty (180) days after the termination of this Agreement or any extension thereof (the Registration Period ) to anyone with whom Brokers had negotiations prior to final termination of this Agreement, provided Owner has received notice in writing including the names of the prospective Buyers, within thirty (30) days after termination of this Agreement. 4. General Provisions (a) Owner reserves the right to refuse any offer which is less than the listed price and/or which includes essential terms materially different from the terms of this Agreement. Owner shall fully cooperate with Broker in this listing including allowing Broker and his agents to enter the property at reasonable times for purposes related to this Agreement. Owner authorizes Broker to engage and/or cooperate with other Broker. Broker is hereby authorized to accept and hold on Owner = s behalf a deposit upon the purchase price. (b) If an action is instituted to enforce this Agreement, the prevailing party shall receive reasonable attorney = s fees and costs as fixed by the court. (c) This Agreement authorizes Broker to place a FOR SALE sign on the property. (d) Owner acknowledges that he has read and understands this Agreement and that he has received a copy hereof.
