INDEMNIFICATION AGREEMENT THIS AGREEMENT is entered into effective the ____ day of ________________, 20_____, by and between ____________________________ (hereafter "____________________________ ") and _________________________________________, hereinafter "Client". WHEREAS, ____________________________ intends to perform certain surveying services for Client involving subdividing property into lots; and WHEREAS, ____________________________ shall be the disclosed agent of Client in the preparation and design of a survey subdividing property into smaller lots and the design and location of improvements, including drainage at the direction of Client; and WHEREAS, Client desires to indemnify ____________________________ pursuant to the terms of this agreement in order to induce ____________________________ to perform the requested services. THEREFORE, FOR VALUABLE CONSIDERATION, the receipt and sufficiency of which is hereby acknowledged, the undersigned ____________________________ and Client do hereby solemnly covenant, contract and agree as follows: 1. Client shall indemnify, defend and hold harmless ____________________________ its officers, agents and employees from and against any and all claims, judgments, expenses and damages, including, but not limited to, actual and punitive damages asserted by any pe rson against ____________________________ arising out of the preparation and design of a residential subdivision, including improvement, as described on the attached Exhibit "A". Thi s obligation of Client shall include, but not be limited to, Client paying when and if due, without demand, (a) all costs of defense of ____________________________ including, without limitation, all attorneys fees and expenses of counsel for ____________________________ , (b) any and all judgments and other amounts assessed by the Court against ____________________________ or its personnel, and (c) any and all other expenses and cost incurred by ____________________________ as a result of any such action or claim. 2. This agreement is made for the purpose of inducing ____________________________ to prepare and continue to assist Client in the preparation of Subdivision plans and specifi cations as aforesaid. 3. In the event a claim is made against ____________________________ which qualifies for indemnification ____________________________ shall notify Client within sixty (60) days of knowledge said claim at Client's last know address. In the event of default in the terms, covenants and conditions hereof the defaulting party agrees to pay the reasonabl e attorneys fees and costs of the non-defaulting party incurred in the enforcement of the term s hereof. 4. This Agreement contains the full and complete agreement of the parties and no modification of amendment hereto may be made except in writing duly executed by t he parties hereto with specific reference made in said writing that it is an amendment or modification of this agreement. If client is a corporation, the individuals signed below agree to be bound personally by the terms of this agreement and shall be jointly and severally liable to ____________________________ .
