1 9.09 Form: Talent Contract Film Productions, Inc. 101 Broadway San Francisco, CA Gentlemen: I understand that you (the "Producer") are contemplating the production of the program described on attachment A (the "Program") and of promotional films and other materials (collectively "Promos") relating thereto. I understand that you intend to exploit the Program and Promos in all formats now known or hereafter to become known, including without limitation, radio, television, print, film, video cassette, videodisc, laser disc, interactive television, CD-ROM, and on-line distribution. In consideration of Producer interviewing, recording, photographing or filming me and contemplating the use of all or part of such interview, recording, photograph or film in or in connection with the Program, the Promos or otherwise (which constitutes full and complete consideration to me, and I understand that no money is payable to me for my agreements, releases and grants hereunder), I agree as follows: 1. I irrevocably grant and release to the Producer and its licensees and assigns: (a) the right to interview me, to photograph and film and otherwise visually and audiovisually record me in traditional or digital formats now known or hereafter to become known and to so record my voice in connection with the Promos and the Program, (b)\x11all rights, without restriction, exclusively, throughout the universe and forever, in all information given in the interview, and all films, photographs and recordings produced hereunder (collectively the "Material"), including, without limitation, the right to use all or any part of the Material in any media whatsoever, now known or hereafter to become known, including without limitation, radio, television, print, CD-ROM, on-line distribution, in or in connection with the Promos, the Program and any products or services of any sponsor or advertiser associated with the Promos or the Program, and the advertising, publicity or promotion thereof, (c)\x11the right to use my name, biography and likeness and other personal identification in connection 2 with any of the rights granted above, and (d)\x11the right to edit, dub, add to, subtract from or modify the Material in any manner and to combine it with any other material. I acknowledge that neither Producer nor any other Party has any obligation to use any of the Material, or my name in connection therewith, or to exercise any right granted herein. Also, I warrant and represent that use of Material herein will not violate any right of any nature of any person, corporation or other entity. 2. Independently from any consideration to me hereunder, I release Producer, their employees, agents, parent, subsidiary, affiliated and relating companies and licensees and assigns, from, and agree not to use or bring any proceeding against any of those parties for, any claim or cause of action, whether known or unknown, for defamation, invasion or right to privacy, publicity or personality or any similar matter, or based upon or relating to the exercise of any of the rights referred to herein. This document contains our entire understanding and cannot be amended except by a written instrument signed by me and by Producer.
