Resolution of Meeting of LLC Members to Borrow Money - This form is a resolution passed

Assignment of Member Interest in Limited Liability Company – This form may be used to
transfer the interest of a member in a LLC to another party. An assignment of this interest does
not dissolve the company or entitle the assignee to become or to exercise any rights of a

second party by the first party is now, and will remain, the property of first party.

action by the company.
